A brief profile of Mr. Adegbile Adedapo Adewunmi is enclosed herewith as Annexure I. Further, pursuant to BSE Circular No. LIST/COMP/14/2018-19 and NSE Circular No. NSE/CML/2018/24 dated June 20, 2018, and based on the confirmation received from the Mr. Adewunmi and the information available with the Company, he is not debarred from holding the office of Director by any order of the SEBI or any other such authority and is accordingly not disqualified from being appointed as a Director of the Company. Further, in terms of Regulation 30(5) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Company’s Policy for determination of materiality for disclosure of event or information, Mr. Adewunmi will be additionally authorized to determine materiality of an event or information and for the purpose of making disclosures to Stock Exchange(s) and his contact details are being provided on the website of the Company.
