Stock Code : 532638 Stock Symbol : SHOPERSTOP Dear Sir / Madam, Sub.: Application made under Regulation 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 for re-classification of certain entities from ‘Promoter and Promoter Group’ Category to ‘Public’ category This is in furtherance of our earlier intimations dated January 16 and May 11, 2026, in respect of the request for reclassification from ‘promoter group’ category to ‘public’ category that was received by the Company from Sundew Real Estate Private Limited, Pramaan Properties Private Limited, Content Properties Private Limited and Sycamore Properties Private Limited (“Request Letters”). As intimated earlier, these Request Letters along with the relevant applications were filed with the stock exchanges seeking a no-objection, as pursuant to a change in their respective shareholdings (as intimated in the past), the aforesaid entities did not qualify the test of ‘promoter group’ as provided under Regulation 2(1)(pp) of the SEBI ICDR Regulations, 2018. In this regard, we wish to inform you that the stock exchanges, by way of their letters dated October 7, 2026, have not allowed the applications/Request Letters by stating that the majority shareholders of the aforesaid entities is Mindspace Business Parks REIT, whose unitholder/sponsor are individuals who (together with their associated entities), hold a majority shareholding in the Company, thus failing to meet the conditions prescribed under Regulation 31A(3)(b) of the SEBI LODR Regulations, as per the stock exchanges. Hence, the Company will continue to include these entities as part of its Promoter Group.
