Dear Sir / Madam,
Sub: Update on Letter of Award – Long Term Power Purchase Arrangement for 300
MW Wind Power Project received on July 14, 2022
Ref: Disclosure pursuant to Regulation 30 of SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)
With reference to the captioned subject and our intimation dated July 14, 2022, we would like
to inform you that Torrent Saurya Urja 2 Private Limited, Wholly owned Subsidiary of Torrent
Green Energy Private Limited which is also Wholly owned Subsidiary of the Company had
entered into long term Power Purchase Agreement (“PPA”) of 300 MW wind power Project
with Solar Energy Corporation of India Limited (“SECI”) on May 04, 2023 after receipt of Letter
of Award from SECI on July 14, 2022.
The Project was materially impacted by Force Majeure events and delays in the readiness of
external infrastructure, including transmission connectivity and operationalisation of GNA.
SECI took note of the circumstances and had, accordingly, granted extensions to the
Scheduled Commercial Operation Date (SCOD).
However, the period of extension had progressively extended beyond a reasonable
timeframe for implementation of the project under the framework of the PPA, particularly in
view of the prevailing circumstances and changed project environment. Accordingly,
considering the continued uncertainty regarding the implementation (SCOD) of the project,
the 300 MW PPA was terminated.
Pursuant to the applicable contractual provisions, liquidated damages of ₹39.78 crore are
payable in connection with such termination of the PPA.
You are requested to take the same on records.
Thanking You.
Yours faithfully,
For Torrent Power Limited
