Dear Sir/Ma’am, This is in furtherance to our intimation dated December 15, 2025 wherein we had informed that Swara Baby Products Limited (“Swara Baby”), a Subsidiary of the Company, has incorporated a new wholly owned subsidiary namely “Swara Corp.” in the State of Delaware, USA, on December 08, 2025 and accordingly it has become a step-down subsidiary of Brainbees Solutions Limited (“the Company”). As mentioned in our aforesaid intimation, the initial subscription for 10,000 shares having par value of $ 1.00 per share by Swara Baby was proposed to be completed on or before February 28, 2026. In furtherance to above, the Company had vide an intimation dated March 04, 2026, informed the exchanges about an extension of the timeline for remittance of the initial subscription amount by Swara Baby in Swara Corp., USA, from February 28, 2026 to April 30, 2026, due to procedural delays. Subsequently, vide an intimation dated May 02, 2026, the Company informed the Stock Exchanges that due to the procedural delays, the said timeline had been further extended from April 30, 2026 to June 30, 2026. In this connection, we hereby further wish to inform that the Company is in receipt of an e-mail communication of even date from Swara Baby informing that it proposes to further extend the aforementioned timeline for remittance of the initial Capital subscription in Swara Corp., USA, a wholly owned subsidiary of Swara Baby, from June 30, 2026 to on or before December 31, 2026, due to procedural delays.
