Purvi Gems & Jewellery (India) Private Limited. This is further to our communication dated 18th September 2026, wherein it was informed that M/s. Sky Gold and Diamonds Limited proposed to acquire 100% of the issued, subscribed and paid- up share capital of the M/s. Purvi Gems & Jewellery (India) Private Limited from its existing shareholder(s). We wish to inform you that M/s. Sky Gold and Diamonds Limited has completed the acquisition of 100% of the issued, subscribed and paid-up share capital of M/s. Purvi Gems & Jewellery (India) Private Limited from its existing shareholder(s) on 7th October 2026. Consequent to the completion of the acquisition, M/s. Purvi Gems & Jewellery (India) Private Limited has become a wholly-owned subsidiary of the Company. The details of the above acquisition (as required to be furnished pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations and SEBI Circular No. SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026) were provided vide our earlier intimation dated 18th September 2026. There is no change in the details of the aforesaid transaction as previously disclosed to the Stock Exchanges. This is for your information and record.
