Transfer of first tranche: Pursuant to the SPA, the promoter has transferred 3,27,00,000 (Three Crore Twenty Seven Lakh) fully paid-up equity shares of face value Re. 1/- each, representing 62.29% of the paid­ up equity share capital of the Company, to the Acquirer at a price of Rs. 6/- per share, aggregating Rs. 19,62,00,000/-, by way of off-market transfer. The transfer was effected in the records of the depository on Tuesday, 6th October, 2026. The Company received intimation of the transfer on [6th October, 2026 at 5.47 p.m. 2. Balance shares: The balance 65,00,000 (Sixty-Five Lakh) equity shares held by the promoter, representing 12.38% of the paid-up equity share capital, shall be transferred to the Acquirer upon fulfilment of the closing conditions agreed between the promoter and the Acquirer. The Company will make a further disclosure upon completion of the transfer of the balance shares. 3. Change in control: Consequent upon the above, the Acquirer holds 3,27,00,600 equity shares representing 62.29% of the paid-up equity share capital and has acquired control of the Company, and shall be classified as a Promoter of the Company. The reconstitution of the Board of Directors and Key Managerial Personnel will be considered by the Board at its meeting to be held on Friday, 9th October, 2026, and the outcome thereof will be submitted separately. 4.
