Dear Sir / Madam, Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations") and with reference to our earlier intimations dated April 30, 2024 and April 30, 2026 regarding the approval of investment in a captive solar power plant at Chennai with the Cleantech Group, we wish to inform you that the parties have mutually agreed to terminate the Power Purchase Agreement, Share Subscription Agreement, Shareholders' Agreement and all ancillary agreements, deeds, undertakings, letters, arrangements (collectively, the "Project Documents") entered into with Seeyel Renewables Private Limited and CSE Development (India) Private Limited. Accordingly, the parties have mutually agreed to terminate the Project, with effect from September 25, 2026, pursuant to the mutual termination letter accepted by Seeyel Renewables Private Limited and CSE Development (India) Private Limited on October 5, 2026 and received by the Company on October 6, 2026. The details as required under Regulation 30 and Schedule III of the Listing Regulations read with applicable SEBI circular are given under Annexure- A to this letter. Accordingly, the parties have mutually agreed to terminate the Project, with effect from September 25, 2026, pursuant to the mutual termination letter accepted by Seeyel Renewables Private Limited and CSE Development (India) Private Limited on October 5, 2026 and received by the Company via email on October 6, 2026. The termination of the Project will have no impact on the operations or financial position of the Company and no termination payment, compensation, damages or admission of default or liability.
