This is with reference to our letters dated (i) May 19, 2026; & (ii) August 19, 2026, we wish to inform that pursuant to the joint First Motion Application (“the application”) filed by KSCL and KPL, the Hon’ble NCLT, Chennai Bench, has, at the hearing held on September 30, 2026, allowed the application and pronounced the Order directing KSCL & KPL for convening their respective meetings of shareholders and unsecured creditors. 2. The aforesaid formal written Order dated September 30, 2026, uploaded on the website of the Hon’ble NCLT, Chennai, today, i.e., October 05, 2026 inter alia, provides for the convening of the respective meetings of the (a) Equity Shareholders; and (b) Unsecured Creditors of KSCL and KPL on Friday, November 13, 2026, for the purpose of considering and, if thought fit, approving with or without modification(s) the Scheme of amalgamation between KSCL & KPL and their respective shareholders and creditors. 3. Indian Bank, the Secured Creditor of KSCL & KPL has provided consent for the scheme of amalgamation, hence the Hon’ble NCLT has dispensed the meeting of Secured Creditors of both the Companies.
