Our earlier intimation dated December 24, 2025 Dear Sir / Madam, In our earlier intimation dated September 17, 2024, Zydus Lifesciences Limited (“the Company”) had informed about the execution of a Business Transfer Agreement (“BTA”) for the acquisition of the API business (“the Target Business”) of Sterling Biotech Limited (“SBL”), subject to conditions precedent and closing date adjustments as specified in the BTA. It was stated therein that the transaction was expected to be completed by December 31, 2024. Vide letter dated December 24, 2025, the Company informed that the Company and SBL mutually agreed to extend the closing date to June 30, 2026. We hereby inform that SBL is still in the process of completing certain conditions precedents of the BTA and hence the Company and SBL have executed a letter to extend the closing date by September 30, 2026. In view of the same, the transaction is expected to be completed on or before September 30, 2026. Please take the above on record.
