In-principle approval for an investment of up to ₹28,77,550/- in AP NGEL Harit
Amrit Limited (“APNHAL”), a JV of the Company by way of subscription of 2,87,755
equity shares, resulting in the Company’s holding increasing from 50% to 51% of
the share capital of APNHAL
2. Disclosure under Regulation 52(7) & 52(7A) of SEBI (Listing Obligations and Disclosure
Requirements Regulations, 2015 (“SEBI LODR”), for quarter ended on 30 June 2026.
Dear Sir/Madam,
In terms of Regulation 30, 33 and 52 read with Schedule III of the SEBI LODR, as amended, this is to
inform that the Board of Directors of NTPC Green Energy Limited (‘the Company’), in its meeting held
today i.e., Wednesday, 22nd July, 2026, inter-alia, considered and approved the following:
(i) Unaudited Financial Results (Standalone & Consolidated) of the Company for the quarter
ended on 30 June 2026. A copy of said results along with Limited Review Reports thereon and
other requisite disclosures are enclosed as Annexure-A. These results had been reviewed by
the Audit Committee
(ii) Incorporation of a wholly owned subsidiary / SPV for development of renewable energy (RE)
projects and subsequent dilution of stake for captive / group captive structuring for
Commercial & Industrial (C&I) Sector customers, subject to necessary approvals, if any.
(iii) In-principle approval for an investment of up to ₹28,77,550/- in AP NGEL Harit Amrit Limited
(“APNHAL”) (50:50 joint venture between NTPC Green Energy Limited and New & Renewable
Energy Development Corporation of Andhra Pradesh Limited) subject to compliance with
applicable statutory and regulatory requirements, by way of subscription of 2,87,755 equity

shares, resulting in the Company’s holding increasing from 50% to 51% of the said company.
Upon completion of the acquisition, APNHAL will become a subsidiary of the Company.
The information as required under Regulation 52(4) of the SEBI (LODR) Regulations, 2015 is also
covered in the Unaudited Financial Results (Standalone & Consolidated) submitted herewith.
Pursuant to Regulation 52(7) & 52(7A) of SEBI (LODR) Regulations, 2015, the statement indicating
utilization of issue proceeds and no deviation or variation in the use of issue proceeds of listed, non-
convertible, unsecured debentures for the quarter ended 30 June 2026 are also submitted herewith.
The submitted information shall also be hosted on the Company’s website.
The Board meeting commenced at 5:00 p.m. (IST) and concluded at 5:50 p.m. (IST).
