Sub: Decisions taken at the Board Meeting held today
Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, the Company hereby wishes to notify the decisions of the Board of
Directors of the Company taken in its meeting held today:
1. Approved appointment of Mr. Andrew Mark Morawski (DIN: 11775252) as an Additional
Director of the Company, based on the recommendation of the Nomination and
Remuneration Committee, with effect from July 22, 2026, in the capacity of
Non-Executive, Non-Independent Director, liable to retire by rotation, subject to approval
of the Shareholders of the Company.
2. Approved unaudited standalone and consolidated financial results for the quarter ended
June 30, 2026.
In this regard, we enclose herewith the unaudited standalone and consolidated financial
results of the Company for the quarter ended June 30, 2026, along with the Limited
Review Reports thereon issued by M/s. S R Batliboi & Associates LLP, Chartered
Accountants, Statutory Auditors of the Company, as enclosed as Annexure A.
3. Mr. Makarand Padalkar (DIN: 02115514), Managing Director and Chief Executive Officer
of the Company tendered his resignation today which will be effective from of the end of
the day of July 23, 2026. Consequently, he shall cease to be the Chairperson/member of
respective Board committees. Mr. Padalkar will continue with the Company for some
time to ensure a smooth handover.
The Board of Directors of the Company has accepted his resignation in its meeting held
today and placed on record its appreciation for the contributions made by Mr. Padalkar
during his tenure with the Company.

4. Approved appointment of Mr. Avadhut Ketkar (DIN: 02353654), currently the Chief
Financial Officer, as an Additional Director in the capacity of the Managing Director and
Chief Executive Officer of the Company, liable to retire by rotation, based on the
recommendation of the Nomination and Remuneration Committee, for a term of three
consecutive years from July 24, 2026 up to July 23, 2029, subject to approval of the
shareholders.
5. Approved appointment of Mr. Manish Bhandari as the Chief Financial Officer (Key
Managerial Personnel), based on the recommendation of the Nomination and
Remuneration Committee and the Audit Committee, with effect from July 24, 2026.
6. Approved reconstitution of following Committees of the Board, effective July 24, 2026

The unaudited standalone financial results for the three month period ended June 30, 2026 have been reviewed by the Audit Committee and approved by the Board of Directors of tl1e
Company at its meeting held on July 22, 2026. The statutory auditors have expressed an unmodified review conclusion on these results.
2 TI1ese financials results have been prepared in accordance with the recognition and measurement principles laid down in the Ind AS 34 -Interim FiJ1ancial Reporting as prescribed under
Section 133 of the Companies Act, 2013 (the 'Act') read with relevant rules of the Companies (Indian Accounting Standards) Rules, 2015 (as amended) and the other accounting
principles generally accepted in India.
3 The figures for the three month period ended March 31, 2026 are the balancing figures between audited figures in respect of the full financial year ended March 31, 2026 and unaudited
published year-to-date figures up to December 31, 2025, being the end of the third quarter of the financial year, which was subjected to limited review.
4 During the three month period ended June 30, 2026, the Company allotted 37,006 equity shares, of face value on 5 each on exercise of stock options by the eligible employees under the
prevailing Employee Stock Option Plan ('ESOP') schemes of the Company.
