Dear Sir(s)/ Madam(s),
Pursuant to Regulation 30 and 33 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we
hereby inform you that the Board of Directors at its meeting held today i.e Wednesday,
July 22nd, 2026 has, inter-alia, considered and approved the following matters:
Financial Results:
1. Un-Audited Standalone and Consolidated Financial Results for the Quarter ended June
30th, 2026 together with the Limited Review Report issued by M/s. K J K & Associates,
Chartered Accountants, the Statutory Auditor of the Company, is enclosed herewith as
Annexure A;
Interim Dividend:
2. Declaration of an Interim Dividend of Rs. 2 per Equity Share of the Company (i.e. 100%
of the face value of Rs. 2/- each of equity share) for the financial year 2026-27. Further,
the record date for determining entitlement of the members to the interim dividend has
being fixed as July 24th, 2026;
Annual General Meeting:
3. 34th Annual General Meeting (“AGM”) of the Company is scheduled to be held on Friday,
September 11th, 2026 through Video Conferencing (VC) / Other Audio Visual Means
(OAVM);
4. Appointment of CS Sandhya R. Malhotra, Partner, M/s. Manish Ghia & Associates,
Company Secretaries as Scrutinizer for conducting E-voting at the ensuing 34th AGM;
Appointment of Non - Executive Independent Director:
5. Appointment of Mr. Shyam Chandrabhan Agrawal as an Additional (Non - Executive
Independent Director) of the Company for a term of five (5) consecutive years, to fill the
casual vacancy caused by the resignation of Mrs. Deena Asit Mehta;
Alteration in Other Object Clause of Memorandum of Association:
6. The insertion of clause 75 under Clause III (B), matters which are necessary for
furtherance of the objects specified in Clause III (A) of Memorandum of Association;
Reconstitution of Risk Management Committee
7. The reconstitution of the Risk Management Committee of the company and appointed
Mr. Shyam Chandrabhan Agrawal, Non-Executive Independent Director as Chairman
in the Committee to fill the casual vacancy caused by resignation of Mrs. Deena Mehta
– Chairman, Risk Management Committee and the existing members of the said
Committee remain unchanged. The revised composition of the Risk Management
Committee is as follows:

Gandhar Oil Refinery (India) Limited for the Quarter ended June 30, 2026 Pursuant to
Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015, as amended

l. We have reviewed the accompanying Statement of Unaudited Standalone Financial
Results of Gandhar Oil Refinery (India) Limited ("the Company") for the quarter
ended June 30, 2026, ("the Statement") attached herewith, being submitted by the
Company pursuant to the requirements of Regulation 33 of SEBI (the "Listing
Obligation and Disclosure Requirements) Regulation 2015, as amended (the "Listing
Regulations").
2. This Statement, which is the responsibility of the Company's management and approved
by the Company's Board of Directors, has been prepared in accordance with the
recognition and measurement principles laid down in Indian Accounting Standard 34,
("Ind AS 34") "Interim Financial Reporting" prescribed under section 133 of
Companies act, 2013, as amended ("the Act") read with relevant rules issued thereunder
and other recognized accounting principles generally accepted in India and in
compliance with regulation 33 of Listing Regulation as amended. Our responsibility is
to express a conclusion on the statement based on our review.
3. We conducted our review of the Statement in Accordance with the Standard on Review
Engagements (SRE) 2410, "Review of Interim Financial Information Performed by
independent Auditor of the Entity" issued by the Institute of Chartered Accountants of
India. This standard requires that we plan and perform the review to obtain moderate
assurance as to whether the Statement is free of material misstatement. A review of
Interim Financial information consists of making inquiries, primarily of persons
responsible for financial and accounting matter, and applying analytical and other
review procedures. A review is substantially less in scope than an audit conducted in
accordance with standards on Auditing and consequently does not enable us to obtain
assurance that we would become aware of all significant matters that might be identified
in an audit. Accordingly, we do not express an audit opinion.

4. Based on our review conducted as above, nothing has come to our attention that causes us
to believe that the accompanying Statement of Unaudited Financial Statement, prepared in
accordance with the recognition and measurement principles laid down in the aforesaid
Indian Accounting Standard and other accounting principles generally accepted in India,
has not disclosed the information required to be disclosed in terms of Regulation 33 of the
SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended,
including the manner in which it is to be disclosed, or that it contains any material
misstatement.
5. Other Matters
We did not review the unaudited consolidated financial results of the Company for quarter
ended June 30, 2025. These interim unaudited Consolidated financial results have been
reviewed by other firms of Chartered Accountants who vide their reports expressed an
unmodified conclusion on the unaudited consolidated financial results of the Company for
the quarter ended June 30, 2025
