Subject: Clarifications on delayed Submission of the Proceedings of 76th Annual General Meeting of the Company With reference to the captioned subject and an email received from Listing Compliance Monitoring Team of BSE Limited dated 29th September, 2026 seeking clarifications on delayed submissions of the proceedings of 76th Annual General Meeting (AGM) of the Company convened on 24th September, 2026 at 10:30 A.M. at the registered office of the Company, we wish to submit that the meeting had commenced at 10:30 A.M. and concluded at 11:30 A.M. We wish to submit that as per our understanding, SEBI LODR regulations does not prescribe the timeline for submission of the proceeding of AGM and hence, we submi(cid:308)ed the same within 25 hours of the conclusion of the AGM. However, we have taken note of the requirements and timelines for submission of the compliance and shall take cognizance of the same to ensure no further delay is caused in submission of compliances. Further, we humbly state that there was no mala fide intention in delayed submission of the Proceedings of the AGM. This delay in submission of Proceedings of AGM is regre(cid:308)ed by us, and we request you to kindly take a lenient view and condone the delay which had occurred inadvertently and unintentionally. We assure that we will be careful in future and adhere to the prescribed timelines. AT 1ST FLOOR, NAIK BUILDING, OPP. DON BOSCO HIGH SCHOOL, M.G. ROAD, PANAJI, GOA - 403 001. Mi(cid:308)al, Chairman and Managing Director, chaired the Meeting and welcomed the members present to the 76th Annual General Meeting of the company. The Chairman called the meeting in order as requisite quorum was present. The Chairman introduced the Directors present. M/s A N Shah & Associates, Statutory Auditor and GHV & Co., the Secretarial Auditor of the Company, had requested for grant of exemption from being present in the 76th Annual General Meeting (AGM). With permission of the members, notice of the 76th Annual General meeting along with the Explanatory Statement, the Standalone and Consolidated Audited Financial Statements of the Company for the financial year ended 31st March, 2026 and the Report by the Statutory Auditor on Standalone Financial Statements and Consolidated financial statements were taken as read as it did not contain any qualification. The Chairman replied to the Secretarial Auditor Report observation pertaining to past charges still reflected as active confirming that the Company has made sincere efforts to obtain the required no-dues certificates and supporting closure documents from successor entities of the respective banks. Based on the outcome of the aforesaid exercise, the Company shall take appropriate steps, including approaching the Registrar of Companies and filing the necessary forms, as may be required, for updating the records maintained on the MCA portal. The Company was pleased to inform that the suspension in trading in equity shares was revoked w.e.f. 8th October 2025 by the Stock Exchange (BSE Limited). On the invitation of Chairman, Members gave their suggestions and sought clarifications on the Company's accounts and business. The Chairman responded to the queries of the Members and provided requisite clarifications. The Chairman then informed the members that as per the provisions of the Companies Act, 2013 and relevant Listing Regulations, the Company had provided e-voting facility to the members to enable them to cast their votes electronically in proportion to their shareholding as on the cut-off date i.e. Thursday, 17th September, 2026. He further informed that the e- voting period was open from 21st September, 2026 at 10:30 a.m. and ended on 23rd September, 2026 at 05:00 p.m. The Chairman informed that members, who have not cast their vote electronically, may cast their vote at the AGM. The Chairman then ordered a poll. He informed the members, that members who have casted their vote electronically, would not be eligible to vote again. The Chairman further informed that Ms Harshika Bhadricha, Practising Company Secretary, Partner of M/s GHV & Co., was appointed as the Scrutinizer for independently carrying out the voting process in a fair and transparent manner and that she will submit consolidated scrutiniser's report (e-voting and poll) of the total votes cast in favour or against, if any, to the Chairman. He further informed the members that the results of voting on each Resolution would be determined by adding the votes of poll in favour/against the Resolution with votes cast electronically in favour/against the same Resolution. Thereafter, the following Resolutions as set out in the Notice convening the 76th Annual General Meeting were read by the Chairman: Res. Particulars Type of No. resolution 1. To receive, consider and adopt the audited Standalone financial Ordinary statement of the Company for the financial year ended March 31, Resolution 2026 together with the reports of the Board of Directors and Auditors thereon; 2. To receive, consider and adopt the audited consolidated financial Ordinary statement of the Company for the financial year ended March 31, Resolution 2026 along with the report of Auditors thereon; 3. To appoint Mr Hemant R Panchal (DIN: 08602861), who retires by Ordinary rotation and being eligible, offers himself for re-appointment. Resolution 4. To consider and approve the shifting of the registered office outside Special the local limits but within the same ROC jurisdiction; Resolution 5. To consider and approve the managerial remuneration paid to the Special Managing Director & Non-Executive Director of the Company for Resolution the F.Y. 2024-25; The poll was then conducted as per the provisions of Companies Act, 2013 and the rules made thereunder. The resolutions as laid above were duly approved with requisite majority by the Members of the Company. The Chairman informed the members that the results of voting would be declared immediately on receipt of the Scrutinizer’s report. He also informed that the results would be intimated to the stock exchange i.e. BSE and would also be uploaded on the Company’s website i.e. www.tradewings.in together with the Scrutinizer’s report. The Chairman thanked the members present at the meeting and declared the meeting as concluded.
