Dear Sir/Madam,
Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (“Listing Regulations”) read with Schedule III of the Listing Regulations
and SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated
30th January, 2026 thereof, we wish to inform you that the United States District Court,
Southern District of New York, has issued its Findings of Fact and Conclusions of Law in the
litigation filed by Ascot Valley Foods, Ltd. against ADF Foods (USA) Ltd., a step-down
wholly owned subsidiary of the Company. The order is substantially favourable to
ADF Foods (USA) Ltd., constituting a significant positive outcome.
The disclosure as required under Regulation 30 of Listing Regulations read with SEBI Master
Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026 is
enclosed as ‘Annexure A’.
The above information shall also be made available on the website of the Company at
www.adf-foods.com.

SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026:

1. Brief details of litigation viz.
a) name(s) of the opposing party: Ascot Valley Foods, Ltd.
b)court/ tribunal/agency where United States District Court, Southern District of
litigation is filed New York
c)brief details/developments of The litigation arose between
dispute/litigation; Ascot Valley Foods, Ltd. and ADF Foods (USA)
Ltd. Ascot had filed a case against
ADF Foods (USA) Ltd. for violation of
Co-pack agreement. ADF Foods (USA) Ltd. had
filed counterclaims, including misappropriation
of ADF’s proprietary recipes/ trade secrets.
The range of potential damages could not be
quantified earlier due to want of certain
information from ASCOT.
2. Expected financial implications, if As per the order, ADF Foods (USA) Ltd. is
any, due to compensation, penalty etc.; entitled to US$ 2,298,114 (US Dollars Two
Million Two Hundred Ninety-Eight Thousand
One Hundred Fourteen only) towards
disgorgement of ASCOT’s profits computed till
December 2025, with further amounts to be
computed for the period from 2026 onwards
whereas ADF’s liability is restricted only to
US$ 100,706.96 (US Dollars One Hundred
Thousand Seven Hundred Six and Ninety-Six
Cents only) plus interest.
The parties have been provided 14 (fourteen)
days from the date of the order to meet and
confer and, in case of disagreement, raise
objections to the proposed judgment and
injunction order.
The matter remains subject to final judgement,
any further proceedings, and
recovery/enforcement processes. Accordingly,
the amount referred above should not be
construed as having any immediate financial
statement or profit and loss impact and will be
assessed in accordance with applicable
accounting standards upto completion of the
relevant legal and accounting evaluation.

Ltd. entitled to disgorgement damages of
US$ 2,298,114 (US Dollars Two Million Two
Hundred Ninety-Eight Thousand One Hundred
Fourteen only), representing Ascot’s profits
earned through misappropriation of ADF
proprietary information recipes / trade secrets for
the period up to December 31, 2025.
4. the details of any change in the status ADF has been directed to file a proposed
and / or any development in relation to judgment for its trade secret claim, including the
such proceedings; mechanism for computing damages beyond 2025
and a proposed permanent injunction order.
ADF Foods (USA) Ltd. will take necessary steps
in accordance with the Court’s directions.

regularly provide details of any change
in the status and / or any development
in relation to such proceedings;
6. in the event of settlement of the Not Applicable
