Incompliance with the MCA Circulars and SEBI Circulars, the Notice of the AGM along with Annual Report for the Financial Year 2025-26 was dispatched by the Company on 28 August, 2026 only by electronic mode to all those members, whose e-mail address were registered with the Company/ Depository Participant. 2. TheNotice of the AGM was simultaneously (i) submitted to the stock exchanges i.e. Bombay Stock Exchange Limited (BSE) (ii) posted on the website of the Company and Central Depository Security Limited (the “CDSL"). 3. The Company had availed the remote e-voting facility provided by Central Depository Security Limited (the “CDSL”) for conducting remote e-voting by the Shareholders of the Company. The Company had also provided e- voting facility to the shareholders participating at the AGM, who did not or were not able to cast their votes by means of remote e-voting prior to the AGM, to vote on the Resolutions set out in the Notice of the said AGM. Management’s Responsibility 4. The management of the Company is responsible to ensure compliance with the requirements of (i) the Companies Act, 2013 and Rules made thereunder; (ii) the MCA Circulars; (i) the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“LODR”); and (i) the SEBI Circulars, relating to remote e-voting and e-voting at the AGM on the Resolutions contained in the Notice of the said AGM. Scrutinizer’s Responsibility 5. My responsibility as Scrutinizer was to (i) ensure that the voting process was conducted in a fair and transparent manner and (ii) to submit a Consolidated Scrutinizer’s report for remote e-voting and e-voting at the AGM, for the resolutions set forth in the Notice of the said AGM of the Company. 6. Further to the above, I submit my consolidated report as under - i the Shareholders who were holding shares of the Company as on the “cut-off” date i.e., 23.09.2026 , fixed by the Board of Directors, were entitled to vote on the Resolutions set out in the Notice of the AGM of the Company dated 28 August, 2026. il. the remote e-voting period commenced on Sunday, September 27, 2026, from 09.00 A.M. (IST) and ended on Tuesday, September 29, 2026 at 5.00 P.M. (IST).
