Pursuant to Regulation 30 of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in accordance with Regulation 169(2) & (3) of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 (“ SEBI ICDR Regulations”), and in furtherance to our intimation dated April 02, 2025, wherein the Board of Directors had allotted 8,66,20,000 convertible share warrants of the face value of Re. 1/- each, convertible into equivalent number of equity shares of the Company, on a preferential basis, for cash, at an issue price of Rs. 4.31/- per warrant. Further as per Regulation 162(1) of SEBI ICDR Regulations, the warrant holders were entitled to exercise the conversion option within 18 (Eighteen) months from the date of allotment. The Company has, upon receipt of the balance 75% consideration, converted 4,97,00,000 warrants into equity shares. The last date for exercising the conversion option was October 01, 2026. Since the warrant holders as enlisted in the attached “Annexure-1” have not exercised the conversion option in respect of the remaining 3,69,20,000 warrants within the stipulated period, the entitlement to exercise the conversion option in respect of such warrants has lapsed with effect from October 02, 2026. Accordingly, the amount paid towards such warrants shall stand forfeited by the Company in accordance with Regulation 169(3) of the SEBI ICDR Regulations. Impact: • There will be no change in the paid-up equity share capital of the Company pursuant to the lapse and forfeiture of the warrants. • The potential dilution of the equity share capital of the Company stands reduced pursuant to the non-conversion of the said warrants.
