Agritech Limited (“Transferor Company 2”), Salasar Balaji Overseas Private Limited (“Transferor Company 3”) (collectively referred to as “Transferor Companies”) with BN Agrochem Limited (formerly known as BN Holdings Limited) (“Transferee Company” or “Company”) (collectively referred to as the “Applicant Companies”) and their respective shareholders under sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with rules made thereunder (“Scheme”). In this regard, we wish to inform you that the Applicant Companies had filed Company Application No. 242/MB/2026 in connection with the C.A. (CAA)/99/MB/2026, seeking an extension of time for convening the meetings of the equity shareholders of the Transferee Company and secured creditors of the Transferor Companies, pursuant to the directions of the Hon’ble NCLT vide order dated June 19, 2026. The Hon’ble NCLT has, vide its order dated August 13, 2026 (“Order”) (uploaded on October 01, 2026), allowed the said Company Application and granted an extension of 90 days from the date of uploading this Order for convening the aforesaid meetings. The date of the aforementioned meeting(s) along with the copy of the notice(s) of the same shall be submitted by the Company in due course with the stock exchange. Tanaya Sethi Sections 230(1) of Companies Act, 2013 ORDER COMP.APPL/ 242(MB)2026 1. The instant Company Application has been jointly filed by A1 Agri Global Limited (First Applicant Company), B.N. Agritech Limited (Second Applicant Company), Salasar Balaji Overseas Pvt. Ltd. (Third Applicant Company) and BN Agrochem Limited (Fourth Applicant Company), seeking extension of ninety days for convening and holding the meeting of equity shareholders of the Fourth Applicant/ Transferee Company, and the meetings of the secured creditors of the First, Second and Third Applicant Companies. 2. The records reflect that this Tribunal, vide Order dated 19.06.2026, had allowed the C.A. (CAA)/99/MB/2026, and directed the convening and holding of meetings, qua the Applicant Companies as aforesaid. It is submitted by the Applicant Companies that the delay in holding the said meetings is neither intentional nor deliberate, and is due to the fact that the equity shareholders of the Fourth Applicant Company, and the secured creditors of the First, Second and Third Applicant Companies require further time for completion of their internal approval processes and for issuance of the requisite authorisations in favour of IN THE NATIONAL COMPANY LAW TRIBUNAL, MUMBAI COURT - IV their representatives to attend and vote at the said meetings, and to coordinate the same. 3. The Applicant Companies therefore seek extension of a further period of 90 (ninety) days from the date of expiry of the period prescribed under the Order dated 19.06.2026, i.e. 18.08.2026, for convening and holding the meetings and that no prejudice would be caused to any party if the extension as prayed for is granted. 4. Upon due consideration of the facts and circumstances of the case, we deem it fit to allow the extension of ninety days as sought for, from the date of uploading this Order. We make it clear that all other directions stipulated under the Order dated 19.06.2026 with respect to the issuance of notices, publication of advertisements, the appointment of the Chairperson and the Scrutiniser, and the quorum, voting, and reporting requirements shall continue to apply mutatis mutandis. 5.
