Accordingly, the composition of the Board of Directors of the Company is dependent upon the direction by the Administrative Ministry and thus, the said non-compliances were due to factors which are beyond the control of the Company. The non-compliance regarding constitution of Committees was a cascading effect of the non-compliance in composition of the Board of Directors. The Company has made representations before the Stock Exchanges for waiver of such fines. The Board of Directors had confirmed the contents of the aforesaid representations at the said Board Meeting.
