Took note of the lapse of 23,43,750 (Twenty-Three Lakh Forty-Three Thousand Seven Hundred and Fifty) convertible warrants allotted on Decemb er 27, 2024, upon expiry of the stipulated exercise period of 18 months on lune 26,2026, as the warrant holders failed to exercise their conversion rights within the prescribed period. 2. Approved the forfeiture of the initial subscription amount received against the aforesaid warrants, aggregating to {37,50,00,000/- (Rupees Thirty-Seven Crore Fifty Lakh only), representing25o/o of the warrant issue price, in accordance with the terms and conditions of issue of thewarrants and Regulation 169(3) of the SEBI flssue of Capitaland Disclosure Requirements) Regulations, 2018. The details of the warrant holders whose warrants have lapsed are enclosed as Annexure - I. The above matter has been duly approved by the Board of Directors at its meeting held today which commenced at 04:00 PM and concluded at 04:30 pM.
