Extension of date of closing

Our earlier intimation dated June 26, 2026 Dear Sir / Madam, In our earlier intimation dated June 26, 2026, Zydus Lifesciences Limited (“the Company”) intimated about execution of Share Subscription and Shareholders’ Agreement (“SSSHA”) with Sunshine Healthcare Lanka Limited (“Sunshine”) and Zydus Sunshine Lifesciences (Private) Limited (“Zydus Sunshine”) to subscribe 50% of the total paid-up equity share capital of Zydus Sunshine (“Subscription Shares”). It was also informed that post subscription of the Subscription Shares, Zydus Sunshine shall become a 50:50 joint venture of Zydus and Sunshine. This is to inform that Zydus and Sunshine are still in the process of completing condition precedents of the SSSHA. In view of the same, and as per the terms and conditions of the SSSHA, the Company and Sunshine have mutually decided to extend the date of closing. The Company and Sunshine have today, i.e. October 1, 2026, executed a letter to extend the date of completion as above.
