Stay Order in respect of Writ Petition filed against ESIC

Dear Sir/Madam, Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Stay Order in respect of Writ Petition filed against Employees’ State Insurance Corporation Ref: NIS MANAGEMENT LIMITED (SCRIP CODE: 544495) Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform you that the Hon’ble High Court at Calcutta, in connection with the Writ Petition filed by the Company against the Employees’ State Insurance Corporation (“ESIC”), has granted a stay on the proceedings pursuant to the notices issued by ESIC, in relation to the demand for payment of damages amounting to Rs. 2,16,99,099/- (Rupees Two Crore Sixteen Lakh Ninety- Nine Thousand Ninety-Nine Only). The aforesaid stay has been granted up to 15th December, 2026, or until further orders, whichever is earlier. The Writ Petition has been filed in relation to various notices received by the Company from ESIC over a period of time seeking payment of the aforesaid damages. Further, the detailed disclosure as required under Regulation 30 of the Listing Regulations read with SEBI Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 is enclosed as Annexure-A.
