Corporate Relations Department, PML/CS/BSE/2026/423 BSE Limited, Date: October 1, 2026 Phiroze Jeejeebhoy Towers Dalal Street Mumbai- 400001 SUBJECT:- INTIMATION UNDER REGULATION 30 OF SEBI (LISTING OBLIGATIONS & DISCLOSURE REQUIREMENTS) REGULATIONS, 2015- PENALTY IMPOSED BY RESERVE BANK OF INDIA SCRIP CODE: - 539113 Date of Event/Information: October 01, 2026 Time of Occurrence of Event/Information: 05:26 PM Pursuant to Regulation 30 read over with Para A 20 (b) of Part A of Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Para A 20 of Annexure 18 of SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, this is to inform you that the Company has received two speaking orders from Reserve Bank of India dated 01.10.2026 under Section 11(3) of Foreign Exchange Management Act, 1999 for imposition of monetary penalty for violation of instruction of Condition (iv) of Para 5 under Section V of the Master Direction on Money Changing Activities dated January 1, 2016 and Para 15 read with Annex Form A2 of the Master Direction on Liberalised Remittance Scheme dated January 1, 2016 (updated from time to time). Further the information pursuant to Regulation 30 of Listing Regulations read with above mentioned Circulars, is as follows:- a. Name of the authority:- Reserve Bank of India (RBI) b. Nature and details of the action(s) taken, initiated or order(s) passed: The RBI has imposed a penalty of Rs. 10,000/- (Rupees Ten Thousand Only) on the Company under each of the following orders: (i) Order No. CDG.FED.FFMC.No.S238/04-05-126/2026-2027 dated October 01, 2026 for violation of instruction of Condition (iv) of Para 5 under Section V of the Master Direction on Money Changing Activities dated January 1, 2016 in respect of Cochin Branch of the Company. (ii) Order No. CDG.FED.FFMC.No.S239/04-05-126/2026-2027 dated October 01, 2026 for violation of instruction of Para 15 read with Annex Form A2 of the Master Direction on Liberalised Remittance Scheme dated January 1, 2016 in respect of Tanda Branch of the Company. The total penalty under both orders is Rs. 20,000/- (Rupees Twenty Thousand Only). c. Date of receipt of direction or order, including any ad-interim or interim orders, or any other communication from the authority; The Company has received the said orders from RBI on 01.10.2026 at 05:26 PM (IST d. Details of the violation(s)/contravention(s) committed or alleged to be committed; (i) Cochin Branch: RBI has imposed the penalty for alleged violation of instruction of Condition (iv) of Para 5 under Section V of the Master Direction on Money Changing Activities dated January 1, 2016 for receiving the payment of rupee equivalent amount in one retail sale transaction through UPI transfer from two different accounts, one of which was of a family member of the travelling customer. (ii) Tanda Branch: RBI has imposed the penalty for alleged violation of instruction of Para 15 read with Annex Form A2 of the Master Direction on Liberalised Remittance Scheme dated January 1, 2016 for not obtaining the signature of the customer on Form A2 in one transaction. The same was subsequently rectified by the said branch of the company. e. Impact on financial, operation or other activities of the listed entity, quantifiable in monetary terms to the extent possible. Except the monetary impact to the extent of Rs. 20,000/- (Rs. 10,000/- under each order), the Company does not foresee any other material impact on financial or operational or other activities of the Company, pursuant to these orders.
