(Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time.

This Postal Ballot is divided into two parts, each covering a specific objective and proposals.
Part A – Sun Pharma Employees Stock Option Plan (ESOP 2026) and Connected Matters
Part A (Item No. 1 to 3) relate to the proposed Employee Stock Option Plan 2026 (“ESOP 2026”), which is intended to strengthen the Company’s long-term
incentive framework by providing eligible employees with performance-linked, share-based rewards. The proposals cover adoption of ESOP 2026, acquisition of
shares through a Trust for implementation of the Plan and extension of the Plan to eligible employees of subsidiary company(ies). The Board believes that these
proposals will help attract, motivate and retain talent while aligning employee interests with long-term shareholder value creation. The Plan will be implemented
using existing shares acquired from the secondary market and will not involve a fresh issue of shares by the Company thereby not involving any dilution.
Part B - Funding and Acquisition and Connected Matters
Part B (Item No. 4 to 7) relate to certain enabling approvals required in connection with the proposed acquisition of Organon & Co. and the associated financing
arrangements. These proposals include enhancement of limits for investments, loans, guarantees, securities and borrowings, creation of security in favour of lenders
and approval under Regulation 24(5) of the SEBI Listing Regulations. These approvals are intended to facilitate implementation framework necessary to support
the proposed acquisition and related funding requirements.
