(IST) through Video Conferencing (VC)/Other Audio Visual Means (OAVM), to transact the following business: Dear Sir, 1. By the letter of the Company i.e., lmpex Ferro Tech Un:iited (under "CIRP") dated September 7, 2026 issued by the Resolution Professional Mr. Ashok Kumar Sarawagi, I, CS Abhijeet Jain of A J & Associates, Practk:ing Company Secretaries, paving its office at Diamond Chamber, 4, Chowringhe.e Lane, Block-I, 4th floor, Suite # 4M, Kolkata - 700 016, was appointed as Scrutinizer for the purpose of Scrutinizing the process of e-voting through Remote e-voting and e-voting at the Annual General Meeting pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 & 21 of the Company (Management and Administration) Rules, 2014 (Amendment Rules, 2015) and the provisions of Regulation 44 of the Securities and Exchange Board of lndici (Listing Obligations and Disclosure Requirements) Regulations, 2015 in respect of the below mentioned resolutions proposed at the 31st Annual General Meeting of the Equity Shareholders of the Company held on September 30, 2026 at 03:00 P.M.(IST) through Video Conferencing (VC)/Other Audio Visual Means (OAVM). 2. The compliance with the provisions of the Companies Act, 2013 and the Rules made there under relating to voting through electronic means (by remote e-voting and e-voting at the Annual General Meeting by the shareholders) on the resolutions proposed in the Notice of the 31st Annual General Meeting of the Members of the Company dated September 7, 2026 is the responsibility of the management. My responsibility as a Scrutinizer is to ensure that the process of the voting through Remote e-voting and e-voting at the Annual General Meeting is to ensure that the voting process is conducted in a fair and transparent manner and is restricted to making a consolidated scrutinizer's report of the total votes cast in "favour" or "against" if any, to the Chairman on the resolution, based on the reports generated from the electronic voting system provided by Central Depository Services (India) Limited (CDSL), the agency engaged by the Company to provide e voting facility for voting through electronic means. In terms of the aforesaid Notice and as per the provisions of Section 108 of the Companies Act, 2013 (the 2013 Act) read with Rule 20 of the Companies (Management and Administration) Rule's, 2014 and the provisions of Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and pursuant to SEBI Circular no. SEBl/HO/CFD/CMD/CIR/P/2020/242 dated gth December, 2020 on "e-Voting facility provided by Listed Companies", the remote e-voting facility was kept open for 3 (Three) days from Sunday, September 27, 2026 (09:00 A.M. IST) to Tuesday, September 29, 2026 (5.00 P.M. IST) and Members were requested to cast their votes electronically conveying their assent or dissent in respect of the resolution on the e-voting· platform provided by Central Depository Services (India) Limited (CDSL). 4. The members holding Equity Shares as on the "cut-off date" i.e., 23'd September, 2026, were entitled to vote on the resolutions stated in the Notice of the 31st Annual General Meeting of the Company. 5. The time fixed for closing of the remote e-voting was on 29th September, 2026 at 5:00 P.M. (IST) the voting portal of the service provider was blocked forthwith. 6. After transacting the business at the meeting, the chairman ordered for an E-Poll i.e., voting at the AGM electronically for th~se Members who could not cast their vote through remote e-voting. 7. After the closure of e-voting and conclusion of the Annual General Meeting on the 301 day of September, 2026, and considering the votes casted in the AGM through e-voting, and thereafter we have unblocked the votes casted through remote e-voting prior to AGM, in the presence of two witnesses, viz., Ms. Anushka Gupta and Ms. Pavi Khandelwal, who are not in the employment of the Company and acted as witnesses as prescribed under sub-rule 4(xii) of Rule 20 of the Companies (Management and Administration) Rules, 2014. 8. Thereafter, the details containing inter alia, list of the Members, who voted "for" or "against" on each of the resolution that were put to vote, were derived from the report generated from the e voting website of Central Depository Services (India) Limited (CDSL) i.e. www.evotingindia.com and based on such reports, - 103 Members have casted their votes through remote e-voting; - 7 Members have cast their votes at the AGM.
