2026, pursuant to Section 108 of the Companies Act 2013 and Rule 20(4) (xii) of the
Companies (Management and Administration) Rules, 2014 as an Annexure.
All the resolutions set out in the notice dated 14th August, 2026 have been passed
with requisite majority.

(Management and Administration) Rules, 2014, as amended]

Prakash Pipes Limited held on 301 h September, 2026 at 05.00 P.M.
Through Video Conferencing ("VC")/Other Audio Visual Means ("OA VM")
Dear Ma'am,
1. I, Bhoopendra Kumar Bohra, Proprietor ofM/s. BK Bohra & Associates, Company Secretaries
having office at Ward No. 3, Athuna Bass, VPO -Gogasar, Teh.-Ratangarh, Dist.-Churu (Rajasthan)-
331504, was appointed as Scrutinizer by the Board of Directors of Prakash Pipes Limited ("the
Company") for the purpose of scrutinizing the remote e-voting and voting through electronic voting
system during the 9th Annual General Meeting ('AGM') carried out as per the provisions of Section
108 of the Companies Act, 2013 (the "Act") read with Rule 20 ofthe Companies (Management and
Administration) Rules, 2014 and amendments made thereto, together with MCA General Circular No.
14/2020 dated April 8, 2020, MCA General Circular No. 17/2020 dated April 13, 2020, MCA General
Circular No. 20/2020 dated May 5, 2020, Circular No. 02/2021 dated January 13, 2021, Circular No.
21/2021 dated December 14, 2021, Circular No. 2/2022 dated May 05, 2022, Circular No. 10/2022
dated December 28, 2022, Circular No. 09/2023 dated September 25, 2023 and General Circular No.
09/2024 dated September 19, 2024 and subsequent circulars issued in this regard, the latest being
General Circular No. 03/2025 dated September 22, 2025 and the provisions of Regulation 44 of
Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015 ('SEBI Listing Regulations') read with SEBI Circulars, on the businesses contained
in the Notice of the AGM of the Members of the Company, held on Wednesday, 30th September, 2026
at 05:00 P.M. (IST) through Video Conferencing/Other Audio Visual Means ('VC/OA VM).
Management's Responsibility
2. The management of the Company is responsible to ensure compliance with the requirements of (i) the
Companies Act and the Rules made thereunder; (ii) the MCA Circulars; and (iii) the SEBI (Listing
Obligations & Disclosure Requirements) Regulations 2015, ("LODR") relating to e-voting on the
resolutions contained in the Notice calling the AGM. The management of the Company is responsible
for ensuring a secured framework and robustness of the electronic voting systems.
Scrutinizer's Responsibility
3. My responsibility as Scrutinizer is to ensure that the voting processes both remote e-voting and venue
voting at the AGM are carried out in a fair and transparent manner and to render a Consolidated
Scrutinizer's Report of the votes cast "in favour" or "against" the resolution(s) contained in the Notice.
4. In compliance with the Regulatien 36 of SEBI (Listing Obligation and Disclosure Requirements)
Regulations, 2015, the AGM Notice along with Annual Report for the Financial Year 2025-26 was

sent by the Company on Monday, 07th September, 2026 by electronic mode to those members, whose
e-mail address were registered with the Company (In-house RT A).
Letters containing the web-link, with the exact path to access the complete Annual Report along with
the Notice of AGM, were dispatched by post on 7th September, 2026 to those shareholders who had
not registered their email addresses.
5. The Company had availed the E-voting facility offered by Central Depository Services (India) Limited
("CDSL") for providing E-voting facility to the Members of the Company prior to AGM as well as
venue-voting during the AGM.
6. The shareholders of the Company holding shares on the "cut-off date" i.e. 23rd September, 2026 were
entitled to vote on the resolution(s) as set out in the notice of the AGM.
7. The remote e-voting was opened on 27th September, 2026 (09:00 a.m.) and ended on 29th September,
2026 (05:00 p.m.) and thereafter, CDSL remote e-voting platform was blocked.
8. The Company also provided e-voting facility to the shareholders present at the AGM held through
VC/OA VM. Shareholders, who were present at the AGM and had not cast their votes by remote e
voting facility, were allowed to cast their votes through e-voting during the AGM and within 15
Minutes of conclusion of AGM.
9. After the closure of e-voting at AGM, the votes cast under remote e-voting before the AGM and e
voting done at the time of AGM were downloaded I unblocked and calculated.
10. Based on the data downloaded from the official website of the CDSL for the remote e-voting and
venue-voting at AGM, I have scrutinized and reviewed the remote e-voting and e-voting process and
votes tendered therein.
11. The details containing list of shareholders who voted "for" or "against" for each of the resolutions that
were put to vote, were downloaded from thee-voting website of CDSL www.evotingindia.com.
12. There were no invalid votes.
RESULTS:
I submit herewith the Consolidated Scrutinizer's Report on the results of the remote e-voting and venue
voting at AGM, scrutinized on test check basis and relied upon by me as under:-
