Sir/Madam,
The 27th Annual General Meeting (“AGM”) of PTC India Limited was held on Wednesday, 30th
September, 2026 at 12:30 P.M. through Video Conferencing in line with the circulars issued by
Ministry of Corporate Affairs and Securities and Exchange Board of India.
In this regard, we would like to submit the following documents: -
a) Voting Results pursuant to Regulation 44 of SEBI (Listing Obligations and Disclosures
Requirement’s) Regulations, 2015 and Section 108 of Companies Act, 2013 read with the
Companies (Management and Administration) Rules, 2015.
b) Report of Scrutinizer dated 01st October 2026
Further, we inform that all the Resolutions as set out in notice convening the said AGM have been
passed by the Members with the requisite majority.
The said results are also being uploaded on the Company’s website at www.ptcindia.com and on the
website of NSDL at www.evoting.nsdl.com, e-voting agency appointed for this purpose.

DECLARATION OF RESULTS OF 27TH ANNUAL GENERAL MEETING OF PTC INDIA
LIMITED HELD ON WEDNESDAY, SEPTEMBER 30, 2026, AT 12:30 P.M.
In compliance with the applicable provisions of the Companies Act, 2013 (“Act”) and Rules
framed thereunder and the SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015 (“SEBI Listing Regulations”) read with Ministry of Corporate Affairs (“MCA”) General
Circular Nos. 14/2020 dated 8th April, 2020, 17/2020 dated 13th April, 2020, 20/2020 dated 05th
May, 2020, 10/2022 dated 28th December 2022, 09/2024 dated 19th September, 2024 and
subsequent circulars issued in this regard, the latest being 03/2025 dated 22.09.2025 ("MCA
Circulars") and circulars issued by Securities and Exchange Board of India (“SEBI”) ("SEBI
Circulars") and all other applicable circulars on this matter issued by MCA & SEBI (collectively
referred to as “Circulars”), the 27th Annual General Meeting of the Company was held on Wednesday,
September 30, 2026 at 12:30 p.m. through Video-Conferencing (“VC”).
As per the provisions of the Act, read with relevant rules thereunder and Regulation 44 of SEBI
Listing Regulations and applicable Secretarial Standards issued by the Institute of Company
Secretaries of India (“ICSI”), the Company had provided the facility of e-voting to the Shareholders to
enable them to cast their vote electronically on the resolutions proposed in the Notice of the 27th AGM
dated August 31, 2026. The remote e-voting was open from Sunday, September 27, 2026 (9:00 am) to
Tuesday, September 29, 2026 (5:00 pm). The Company had also provided the e-voting facility at the
AGM (insta-poll) to those members who did not cast their vote through remote e-voting.
CS Ashish Kapoor of M/s. Ashish Kapoor & Associates, Practicing Company Secretaries was
appointed as the Scrutinizer for conducting remote e-voting and voting through electronic voting
system at AGM in a fair and transparent manner. The Scrutinizer have carried out the scrutiny of all
the electronic votes received through remote e-voting up to 5:00 P.M. on September 29, 2026 and
votes received through e-voting till 15 minutes after the conclusion of the AGM and submitted his
report on October 01, 2026.
