Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) and in continuation of our earlier intimation dated August 14, 2025 and September 03, 2025, in relation to Scheme of Amalgamation of FUTECH INTERNET PRIVATE LIMITED ("Transferor Company"), wholly- owned subsidiary of the Company, with ANKA INDIA LIMITED ("Transferee Company") and their respective shareholders, we wish to further inform you that aforesaid Scheme of Amalgamation has been approved by the Hon'ble National Company Law Tribunal (NCLT), Chandigarh Bench (COURT-I). The aforesaid sanction of the Scheme is subject to approval of the second motion petition by the jurisdictional Tribunal of the Transferor Company, i.e. the Hon’ble National Company Law Tribunal, New Delhi Bench. The Scheme shall become effective subject to fulfilment of the conditions stipulated in the Scheme and the order of the Hon’ble NCLT, including the aforesaid approval and completion of the applicable statutory and regulatory compliances.
