Opinion
We have audited the accompanyingstandalone annual financial results of MarksansPharma Limited
(hereinafter referred to as 'the Company') for the year ended March 31, 2026, ('the Statement'),
attached herewith, being submitted by the Company pursuant to the requirement of Regulation 33of
the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ('Listing
Regulations').
In our opinion and to the best of our information and according to the explanations given to usthe
aforesaidStatement:
(i) is presentedin accordancewith the requirements of Regulation33of the Listing Regulationsin this
regard; and
(ii) givesatrue andfair view, in conformity with the recognition andmeasurementprinciples laid down
in the applicable accounting standardsprescribed under Section133of the Companies Act, 2013('the
Act'), readwithCompanies(IndianAccountingStandards)Rules, 2015, asamended,andotheraccounting
principles generally accepted in India, of the net profit and other comprehensive income and other
financial information of the Company for the year endedMarch31,2026.
Basis for Opinion
Weconducted our audit in accordance with the Standards on Auditing ('SAs') specified under section
143(10) of the Act. Our responsibilities under those SAs are further described in the Auditor's
Responsibilities for the Audit of the standalone financial results section of our report. We are
independent of the Company in accordancewith the Code of Ethicsissuedbythe Institute of Chartered
Accountants of India together with the ethical requirements that are relevant to our audit of the
standalonefinancial statements under the provisionsof the Act andthe Rules thereunder, andwe have
fulfilled ourotherethical responsibilitiesin accordancewith theserequirements andthe Codeof Ethics.
Webelievethat the auditevidenceobtained byusissufficient andappropriateto provideabasis for our

India and is in compliance with the Regulation 33 of the Listing Regulations. This responsibility also
includes maintenance of adequate accounting recordsin accordancewith the provisionsof the Act for
safeguarding of the assets of the Company and for preventing and detecting frauds and other
irregularities; selection and application of appropriate accounting policies; making judgments and
estimates that are reasonable and prudent; and the design, implementation and maintenance of
adequate internal financial controls, that were operating effectively for ensuring accuracy and
completenessof the accounting records, relevant to the preparation andpresentation of the Statement
that giveatrue andfairview andare free from material misstatement, whetherdueto fraud or error.
In preparing the Statement, the Board of Directors of the Company are responsible for assessing the
abilityof the Company to continue asagoingconcern, disclosing,asapplicable, matters related to going
concernandusingthe goingconcernbasisof accounting unless the Board of Directors either intends to
liquidatethe Company or to ceaseoperations, or hasnorealistic alternative but to doso.
TheBoardof Directorsarealsoresponsibleforoverseeingthefinancial reporting processofthe Company.
Auditor's Responsibilities for the Audit ofthe Standalone Financial Results
Ourobjectives are to obtain reasonableassurance about whether the Statement asawhole is free from
materialmisstatement, whether dueto fraud or error, andto issueanauditor's report that includes our
opinion. Reasonableassuranceisahighlevel of assurance, butisnot aguaranteethatanauditconducted
in accordancewith SAs will alwaysdetect a material misstatement when it exists. Misstatements can
arise from fraud or error and are considered material if, individually or in the aggregate, they could
reasonablybeexpected toinfluencethe economicdecisionsofuserstakenonthebasisofthis Statement.
As part of anaudit in accordancewith SAs, weexerciseprofessionaljudgmentandmaintain professional
skepticism throughout the audit. Wealso:
• Identifyandassess the risksof material misstatement of the Statement, whetherdueto fraud or
error, designandperform audit proceduresresponsive to thoserisks, andobtain audit evidence
that is sufficient andappropriate to provide a basis for our opinion. Therisk of not detecting a
material misstatement resulting from fraud is higherthan for oneresulting from error, asfraud
may involve collusion, forgery, intentional omissions, misrepresentations, or the override of
internal control.
• Obtain an understanding of internal control relevant to the audit in order to design audit
proceduresthat are appropriate in the circumstances. UnderSection 143(3) (i) of the Act, we
are alsoresponsiblefor expressing our opinion onwhether the Company hasadequate internal
financial controls with reference to standalonefinancial statements in place andthe operating
effectiveness of such controls.
