Disclosure requirement Details 1 Brief details of litigation viz. names of the Ramco System Inc., Philippines ("RSI") a opposing party, court / tribunal / agency 100% subsidiary of Ramco Systems Limited, where litigation is filed, brief details of India had received on 10th September 2025 a dispute litigation. final assessment notice / formal letter of demand (FAN/FLD) from the Commissioner of Internal Revenue ("CIR") dated 29th August 2025, relating to the Financial Year 2022-23, demanding PHP 72.40 Mln. (approximately Rs.112.00 Mln.), consisting of Income Tax, Value Added Tax, Expanded Withholding Tax, Withholding Tax on Compensation, Final Withholding Tax, Final Withholding of Value- Added Tax, Documentary Stamp Tax and Interest. There was also a demand for Compromise penalty of PHP 45,000 (approximately Rs.0.07 Mln.) RSI filed an administrative protest against the claim. Based on our representation and discussions, we have received on 30th September 2026, the ‘Final Decision’ dated 29th September 2026 from the Commissioner of Internal Revenue, dropping almost all major demands, with a final demand for PHP 3 Mln. (approximately Rs.4.60 Mln.) including compromise penalty of PHP 20,000 (approximately Rs.0.03 Mln.) as against the o riginal demand mentioned above. 2 Expected financial implications, if any, due Based on the Final decision, RSI has paid the to compensation, penalty etc. demand of PHP 3 Mln (approximately Rs.4.6 Mln.) on 30th September 2026 and this matter has now been settled. 3 Quantum of claims, if any.
