Vibrant Enterprises, a partnership firm through its partners namely, Smt. Nisha Jayaswal, Smt. Rita Jayaswal, Smt. Karishma Jayaswal, Smt. Hargunn Jayaswal, Smt. Ankita Jayaswal, Jyotikant Investments Private Limited and Vibrant Electronics Private Limited ("Investor"), we wish to inform you that the Committee of Directors of the Company ("Committee"), at its meeting held on 1° October, 2026, has, pursuant to the receipt of all applicable regulatory/ statutory approvals, approved the allotment of the Subscription Warrants to the Investor, by way of a preferential issue on a private placement basis, in accordance with the provisions of the CompaniesAct, 2013, and the rules made thereunder, Chapter V ofthe SEBI (Issue ofCapital and Disclosure Requirements) Regulations, 2018 (ICDR Regulations). Each Subscription Warrant carries a right to subscribe to 1 (one) equity share of the Company, having a face value of INR 10/- (Indian RupeesTen only) ("Equity Share"), which may be exercised in one or more tranches within 18 (eighteen) months from the date of allotment ofthe Subscription Warrants. The Subscription Warrants have been issued and allotted at a price of INR 89.13/- (Indian Rupees Eighty Nine and Thirteen Paise only) per Subscription Warrant, aggregating to INR 200,00,00,013.42/- (Indian Rupees Two Hundred Crore and Thirteen and Forty Two Paise only). As of the date of allotment of the Subscription Warrants, the Investor has paid an amount of INR 50,00,00,003.36/- (Indian Rupees Fifty Crore and Three Rupees and Thirty-Six Paise Only) (i.e., 25% of the aggregate warrants subscription amount of INR 200,00,00,013.42/-) to the Company, and the balance amount will be payable at the time of exercise of the Subscription Warrants, in accordance with the terms ofthe ICDR Regulations.
