A Joint Memo of Compromise executed between the Award Holders and the Judgment Debtors (including SEPC Limited) was presented before the Hon'ble High Court. Under the terms of the compromise, the parties have mutually decided to fully resolve all their outstanding disputes for a total consideration. In pursuance to SEBI circular numbered SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, details to be disclosed regarding the aforesaid order is annexed in Annexure I to this intimation. Nature and details of the Vide Common Order dated. 30-09-2026, the Hon’ble action(s) taken, initiated or High Court of Madras had ordered following directions order(s) passed 1. Settlement Consideration: The payment consists of a Demand Draft for Rs. 147 Crores (drawn on Axis Bank) submitted today, and a remaining balance of Rs. 2.5 Crores currently lying to the credit of the Court in A. No. 1812 of 2026, which has been agreed to be paid over to the Award Holders. 2. Termination of Proceedings: In light of the settlement, the Hon'ble High Court has officially terminated all the listed and un-numbered Execution Petitions and closed all connected pending applications. 3. Lifting of Attachments: Consequent to the termination of the Execution Petitions, all interim attachments made under these petitions stand completely raised.
