Re-appointment of Mr. Niraj Chhaganraj Gemawat (DIN:00030749) as Managing Director of the Company Based on the recommendations of the Nomination and Remuneration Committee, the Board of Directors of the Company has at their meeting held today, i.e. 26th June, 2026, inter alia, approved the re-appointment of Mr. Niraj Chhaganraj Gemawat (DIN: 00030749) as the Managing Director of the Company for a period of 5 (five) Years with effect from 29th June, 2026 to 28th June, 2031, subject to approval of the shareholders of the Company at the ensuing Annual General Meeting of the Company. Details with respect to re-appointment of Mr. Niraj Chhaganraj Gemawat, as the Managing Director of the Company, as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circulars, is enclosed as Annexure-I. 2. He has over 30 years of experience in the field of business development and management of finance functions. He completed his Post graduation in Management (MBA) from Symbiosis Centre of management and human resource, Pune and Bachelor in Engineering (B.E.) from Gujarat University. 4 Disclosure of relationships between directors Mr. Niraj Gemawat is related to Mrs. Rachana (in case of appointment of a director) Gemawat, Director of the Company, being her spouse. He is not related to any other Director of the Company. 6 Information as required pursuant to Mr. Niraj Gemawat is not debarred from holding the applicable stock exchange circulars office of director by virtue of any SEBI order or any other such authority.
