This determination is based on the audited financial statements of the Company, Ascent and Sidwal for the financial year 2025–26. Based on such audited financials, the income and net worth of both Ascent and Sidwal did not exceed the threshold prescribed under Regulation 16(1)(c) of the SEBI (LODR) Regulations, which defines a subsidiary as "material" if its income or net worth exceeds 10% of the consolidated income or net worth, respectively, of the listed entity and its subsidiaries in the immediately preceding accounting year.
