Scrip Code: 534425 Scrip Code: SPECIALITY Dear Sir/ Madam, Sub: Disclosure under Regulation 30 read with Para B (8) of Part A of Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) – Order passed by the Tamil Nadu Sales Tax Appellate Tribunal, Chennai. Pursuant to Regulation 30 read with Schedule III of the Listing Regulations, this is to inform you that an order dated April 27, 2026 (the “Order”) has been passed by the Tamil Nadu Sales Tax Appellate Tribunal (Additional Bench), Chennai (the “Tribunal”) concerning the miscellaneous petitions (TMP Nos. 51 to 56 of 2018) filed by the Company under Section 84 of the Tamil Nadu Value Added Tax Act, 2006, (the “Petitions”) seeking rectification of the Tribunal’s earlier common order dated August 28, 2015 and its subsequent order dated March 13, 2017, passed in State Tribunal Appeal Nos. 90, 91 and 236 of 2014 and State Tribunal Review Appeal Nos. 1, 2 and 3 of 2016, respectively. The said Order was signed by the Manager of the Tribunal on May 18, 2026 and received by the Company on July 21, 2026. The said Petitions related to the levy of value added tax on the supply of food and non-alcoholic beverages by the Company's restaurants for the assessment years 2006-07, 2007-08 and 2008-09, on the ground of the applicable rate of tax under Section 7(1)(a)/7(1)(b) of the Tamil Nadu Value Added Tax Act, 2006. The Tribunal, by way of their Order, has held that no error apparent on the face of the record exists warranting rectification, and has accordingly dismissed all six Petitions, thereby affirming its earlier orders viz. order dated August 28, 2015, and order dated March 13, 2017. The Company is in discussions with its tax advisors and evaluating the same. The Company will pursue legal remedies as may be available and advised. The above information will also be available on the company website at www.speciality.co.in. The Company had, at the time of filing of the aforesaid Petitions, deposited the demanded amount of ₹ 1,71,68,672/- with the relevant authorities. Since the said amount stands deposited, the Order does not entail any cash flow impact on the Company. The financial impact may be to the extent of the amount as had been deposited earlier, at the time of filing of the Petitions. There is no impact on the operations or other activities of the Company.
