Ref: Reclassification under Regulation 31A of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR") from Promoter Group category to Public category of Bonlon Industries Limited (the "Company”) As known to you, We, B.C. Power Controls Limited, Member of Promoter Group of the Company, has been disclosed as the "Promoter Group” of Bonlon Industries Limited (‘the company”). Through the instant application, We seek to re-classify our category from 'Promoter Group' into 'Public category’ in pursuance of Regulation 31A of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended upto date) (‘the SEBI Regulations 2015"). Rationale for seeking re-classification: We seck re-classification from the category of "Promoter Group” to "Public” for the following reasons: As on today, we are not, directly or indirectly, associated with the business of the Company and do not have any influence over the business and policy decisions made by the Company. Further, we are not involved in the day-to-day activities of the Company nor we are exercising any control over the affairs of the Company nor we have any special rights in the Company through formal or informal arrangements including through any shareholder agreement. We, therefore, request the Board of the Company to consider re-classifying us from 'Promoters Group' to 'Public’ category. Satisfaction of conditions of Regulation 31A (3)(b): 1. Along with PAC hereby bring out compliance with Regulation 31A (3)(b) of the SEBI Regulations 2015 as under: a) we do not hold more than ten percent of the total voting rights in the company. b) we do not exercise control over the affairs of the company, directly or indirectly. ¢) we do not have any special rights with respect to the company through formal or mtormal arrangements including through any shareholder agreements.
