For APIS India Limited Amit Anand (Managing Director) DIN: 00951321 Investor E-mail Id: mail@apisindia.com Proceedings of the 44th Annual General Meeting (“AGM”) of Apis India Limited in terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 The 44th Annual General Meeting (“AGM”) of the members of APIS India Limited (“the Company”) was held on Wednesday, September 30, 2026. The meeting was commenced at 01:00 p.m. due of want to quorum, the meeting commenced at 01:07 P.M. (IST) through Video Conferencing / Other Audio-Visual Means (“VC/OAVM”), in accordance with the applicable provisions of the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Secretarial Standards and circulars issued by the Ministry of Corporate Affairs (‘MCA’) from time to time and the applicable guidelines. The meeting commenced at 01:07 P.M. (IST) and concluded at 01:56 P.M. (IST) (including time allowed for e-Voting at AGM) on the same day. Mr. Gaurav Shah Proprietor of M/s Gaurav Shah & Associates, Jaipur Scrutiniser for e-Voting process of the AGM The Company Secretary welcomed the members and informed them regarding the arrangements for participation through VC/OAVM, the mute/unmute process for speaker shareholders, the procedure for raising queries, the availability of technical assistance and the electronic voting facility. The Company Secretary confirmed the presence of the Scrutinizer along with and Secretarial Auditors who attended the AGM. However M/s G A M S & Associates, Statutory Auditors was not present in the Annual General Meeting. Mrs. Prem Anand, Chairperson of the Company, chaired the meeting. The Chairperson welcomed all the members who joined the meeting through VC. The requisite quorum being present, the meeting was called to order. The Chairperson then informed the members that, since the AGM was conducted through VC/OAVM, the physical presence of members was dispensed with and the requirement of appointment of proxies was not applicable. The statutory registers and other documents referred to in the Notice of AGM were made available for inspection by the members through the shareholder login / electronic facility provided for the AGM. Thereafter, the Company Secretary introduced the Directors and Key Managerial Personnel who participated in the meeting as panelists. The Company Secretary informed the members that the Notice of the 44th AGM dated August 29, 2026, together with the Board’s Report and the audited financial statements and the reports of the auditors, had already been circulated to the members. Accordingly, with the consent of the members present, the Notice of the AGM was taken as read. It was further informed to the members that the Statutory Auditor’s Report and Secretarial Auditor’s Report did not contain any qualifications, reservations or adverse remarks and, accordingly, the same were taken as read. Mr. Amit Anand, Managing Director, addressed the members and briefed them on the state of the economy in general and the FMCG industry, and the Company’s business developments and strategic initiatives during FY 2025-26. He referred to strengthening of the core FMCG business, expansion of the product portfolio and distribution network, value-added food products and new product categories, including the MISK range, and the MoFPI subsidy of approximately ₹1.66 crore for the Jam manufacturing project at Roorkee. He further outlined the Company’s focus areas for FY 2026-27, including strengthening the existing business and distribution network, expanding the product portfolio, growing domestic and international markets, improving operational efficiency and working-capital management, and building a resilient and competitive organisation. Mr. Ankit Nagar, Chief Financial Officer, briefed the members on the financial performance of the Company for FY 2025-26. The Company Secretary informed the members that, in compliance with the Companies Act, 2013 and the SEBI Listing Regulations, the Company had provided the facility of remote e- voting through CDSL. The remote e-voting commenced on Sunday, September 27, 2026 at 09:00 A.M. (IST) and concluded on Tuesday, September 29, 2026 at 05:00 P.M. (IST). The Company Secretary further informed that members who had not cast their votes through remote e-voting were entitled to cast their votes through the e-voting facility available during the AGM. Members who had already cast their votes through remote e-voting were not entitled to vote again. In case a vote was cast through both modes, the vote cast through remote e-voting prior to the meeting would prevail. Mr. Gaurav Shah, Proprietor of M/s Gaurav Shah and Associates, Practicing Company Secretaries, had been appointed as the Scrutinizer to scrutinize the remote e-voting and e-voting process at the AGM in a fair and transparent manner.
