Dear Sir/Madam,
Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we hereby inform you that Solarworld Energy
Solutions Limited (“Company”) has received a Show Cause Notice dated September 29, 2026 from the Office
of the Deputy Commissioner in Form GST DRC-01 (Reference No. ZD090926472863L) under Section 73(1) of
the Central Goods and Services Tax Act, 2017 (“CGST Act”) / Uttar Pradesh Goods and Services Tax Act,
2017 (“UPGST Act”), read with Section 20 of the Integrated Goods and Services Tax Act, 2017 (“IGST Act”),
and the rules made thereunder.
The aforesaid notice is at the show cause stage, and no order, demand or penalty has been confirmed against the
Company. The Company was provided an opportunity to submit a written reply along with supporting
documents substantiating compliance with the GST Returns.
In response to the Show Cause Notice, the Company is examining the notice and will file a detailed reply with
supporting documents within the prescribed time. Based on its preliminary assessment, the Company believes it
has a good case on merits, and it does not expect any material impact on its financial position, operations or
other activities.
The details as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No.
SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 are enclosed herewith as
“Annexure I”.

In response to the Show Cause Notice, the Company is
examining the notice and will file a detailed reply with
supporting documents within the prescribed time. Based
on its preliminary assessment, the Company believes it
has a good case on merits, and it does not expect any
material impact on its financial position, operations or
other activities. A personal hearing before the Proper
Officer is scheduled for October 30, 2026, pursuant to
which the Company will present its submissions and
supporting documents.

committed or alleged to be committed; alleged discrepancies for FY 2022-23, including:
i. Difference between tax payable reported in
GSTR-9 and GSTR-9C;
ii. Credit notes amounting to ₹2,83,13,705
reported in GSTR-9;
iii. Unreconciled ITC reported in GSTR-9C;
iv. Alleged excess ITC claimed as per GSTR-9;
v. Differences between ITC claimed in GSTR-3B
and ITC reflected in GSTR-2A/2B;
vi. Issuance of e-way bills in respect of alleged
non-supply transactions;
vii. Outstanding trade payables of ₹60,15,87,600,
with the department seeking an ageing-wise
ledger for examination of potential ITC
reversal against non-payment to vendors within
180 days; and
viii. Alleged availment of blocked ITC of
₹15,44,358.33 under Section 17(5) of the
CGST Act, 2017.
5. Impact on financial, operation or other The notice proposes a potential financial liability of
activities of the listed entity, quantifiable in Rs. 5,39,39,622 comprising tax of Rs. 2,95,71,123,
monetary terms to the extent possible. interest of Rs. 2,13,05,792 and penalty of Rs. 30,62,707.
However, this is at the show cause stage only, is
contested, and does not represent a confirmed liability.
The Company intends to submit its reply along with
relevant supporting documents and present its
submissions before the Proper Officer at the scheduled
personal hearing. The matter is not expected to have any
material impact on the Company's financial, operational
or other activities.
