We wish to inform you that Tata Capital Limited, as the exis(cid:415)ng lender and arranger, has entered into an Assignment and Transfer Deed dated 30th September, 2026 with Aditya Birla Capital Limited (“ABCL”) in rela(cid:415)on to the facili(cid:415)es sanc(cid:415)oned under the said Loan Agreement. Pursuant to the said Assignment and Transfer Deed and the syndica(cid:415)on arrangement, ABCL has sanc(cid:415)oned and agreed to par(cid:415)cipate as an acceding lender in respect of a facility of Rs. 40,00,00,000 (Rupees Forty Crores), out of the overall facili(cid:415)es of Rs. 219,00,00,000 (Rupees Two Hundred and Nineteen Crores) sanc(cid:415)oned under the Loan Agreement. Accordingly, the rights and obliga(cid:415)ons of the Exis(cid:415)ng Lender in rela(cid:415)on to the aforesaid transferred facility of Rs. 40,00,00,000 (Rupees Forty Crores) are proposed to be assigned and transferred in favour of ABCL, in accordance with the terms and condi(cid:415)ons set out in the Assignment and Transfer Deed dated 30th September, 2026 and the sanc(cid:415)on le(cid:425)er dated 23rd September 2026. The Company hereby confirms that the execu(cid:415)on of the Assignment and Transfer Deed dated 30th September, 2026 is pursuant to the syndica(cid:415)on arrangement contemplated under the Loan Agreement.
