Details of the Meeting The 42nd Annual General Meeting (‘AGM’) of SPA Capital Services Limited (‘the Company’) was held on Wednesday, September 30th, 2026 at 11:00 A.M at the registered office of the Company situated at 25 C- Block, Community Centre Janakpuri New Delhi - 110058. The Meeting commenced at 11:00 AM and concluded at 11:55 A.M. Ms. Seema Sharma, Company Secretary & Compliance Officer of the Company, welcomed all the Members, Directors and scrutinizer present at the Meeting. She also informed that the Statutory Registers and other relevant documents referred to in the Notice of the AGM were available for inspection. Thereafter, Mr. Sandeep Parwal, Managing Director of the Company took the Chair and upon the requisite Quorum the Chair has called the meeting in order. A total of Fourteen (15) members were personally present at the meeting, while Four (04) members were represented through proxy. Upon confirming the presence of the requisite quorum, the Chairperson formally called the meeting to order. The Chairperson then briefed the Members about the performance of the Company during the financial year 2025-26, operations, achievements, expansion plans and future outlook and the general outlook for the sector. Ms. Seema Sharma, Company Secretary and Compliance Officer, informed that, the Company had in compliance with Section 108 of Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration Amendment) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, had provided Remote E-Voting facility to its Members to cast votes electronically on items of business set out in the Notice. It was informed that Remote E-Voting commenced at 9.00 A.M. on Sunday, September 27, 2026 and closed at 5.00 P.M. on Tuesday, September 29, 2026. Ms. Seema Sharma, Company Secretary and Compliance Officer, then informed the Members that the Notice convening the AGM along with Explanatory Statement, the Annual Financial Statements, Auditor's Reports and Annual Report for the financial year ended March 31, 2026, which had already been circulated to the Members, were taken as read. She further informed that, M/s. Mohan Upreti and co., Company Secretary in Practice (FCS-4179), COP NO: 26571, have been appointed as the Scrutinizer to scrutinize the entire voting process of the AGM in a fair and transparent manner. With the Chairperson's authorization, Ms. Seema Sharma was requested to present and address the agenda items on his behalf. She further announced that the Company had arranged for ballot paper voting during the AGM, enabling Members physically present at the Meeting to cast their votes on the resolutions set forth in the Notice of AGM. However, only those Members who were in attendance and had not exercised their voting rights through Remote E-Voting, and who were otherwise eligible to vote, were permitted to cast their votes using the ballot papers provided at the venue. With the consent of the Members, the notice convening the Meeting and the Auditors’ Report were taken as read. It was noted that the Auditors’ Report contains a qualification, which was duly acknowledged and addressed by the Board. The following items of businesses as set out in the Notice convening the 42nd AGM were recommended for members’ consideration and approval: S. Resolutions Type of No Resolution ORDINARY BUSINESS 1. To receive, consider and adopt the Audited Financial Statement of the Company comprising of Balance Sheet, the statement of Profit and Ordinary Loss and Cash Flow Statement for the Financial Year ended March 31, Resolution 2026 along with the Reports of the Board of Directors and Auditor's thereon. 2. To re-appoint Mrs. Honey Parwal, ( DIN No.: 00025835), Director of the Company, who retires by rotation in accordance with Sec 152 (6) Ordinary of the Companies Act, 2013 at the Annual General Meeting, and being Resolution eligible, offers herself for re-appointment as Directors. SPECIAL BUSINESS 3. Approval of Related Party Transactions. Special Resolution 4. Appointment of Ms. Sonia Batra (Din: 11927055) as Non- Executive Special Resolution Independent Director of the Company. 5. Regularisation of appointment of Mr. Ritesh Tanwar ( DIN No. : Special Resolution 11379708) as an Independent Director Members were invited to express their views or ask questions and seek clarification(s). Appropriate responses/clarifications were provided to the questions/queries raised by the members. There being no other item in the Agenda, the Chairperson thanked the Members for their continued support and for participating in the Meeting. 2. Result of the items deliberated The Members were informed that Mr. Mohan Upreti, of M/s. Mohan Upreti and Co., Company Secretary in Practice (FCS 4179), COP NO: 26571, was appointed as the Scrutinizer to scrutinize the remote e-voting and voting through Ballot Paper during the AGM. The detailed results of the voting at the aforesaid Meeting along with the Scrutinizer’s Report pursuant to Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014 read with Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 shall be submitted with the Stock Exchange(s) once the same is obtained by the Company from the aforesaid Scrutinizer. The voting results along with the Scrutinizer’s Report shall also be uploaded on the website of the Company and the website of the SPA Capital Services Limited (“Company”). Further, the transcript of the AGM shall also be uploaded on the website of the Company. All the resolutions as set out in the 42nd AGM Notice was declared as passed with requisite majority.
