Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please find enclosed herewith the proceedings of the 54th Annual General Meeting (’AGM’) of the Members of the Company held on Wednesday, 30th September 2026 at 3.30 p.m. conducted through Video Conferencing (‘VC’)/ Other Audio-Visual Means (‘OAVM’) in accordance with the provisions of the Companies Act, 2013 (as amended) and rules made thereunder, Listing Regulations, Circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India. The Company had appointed M/s. Somani & Associates, Practicing Company Secretary (Membership No. FCS: 8642), as the Scrutinizer to provide the facility to the members of the Company to scrutinize the voting in a fair and transparent manner. The Voting results pursuant to Regulation 44(3) of SEBI Listing Regulations and Report of the Scrutinizer, pursuant to Section 108 of the Act and Rule 20 of the Companies (Management and Administration) Rules, 2014 will be submitted in due course. Thanking you, Yours faithfully, For VIPUL ORGANICS LIMITED Vipul Shah Managing Director DIN: - 00181636 Encl.: As above SUMMARY PROCEEDINGS OF THE 54TH ANNUAL GENERAL MEETING OF THE COMPANY HELD ON WEDNESDAY, 30TH SEPTEMBER 2026 Date and Time of the Meeting The 54th Annual General Meeting (“AGM”) of the Members of Vipul Organics Limited (“the Company”) was held on Wednesday, 30th September 2026 at 3:30 p.m. (IST) through Video Conferencing (“VC”) / Other Audio- Visual Means (“OAVM”), without the physical presence of the Members at a common venue, in accordance with the applicable provisions of the Companies Act, 2013, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) and the applicable circulars issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”). The deemed venue of the AGM was the Registered Office of the Company. DIRECTORS AND KEY MANAGERIAL PERSONNEL PRESENT The following Directors and Key Managerial Personnel were present at the AGM through VC/OAVM: 1. Mr. Vipul P. Shah – Managing Director; 2. Mr. Mihir V. Shah – Whole-Time Director and Chief Financial Officer; 3. Dr. Shiv Nath Sahai – Non-Executive Director; 4. Mrs. Megha S. Bhati – Independent Director and Member of the Nomination and Remuneration Committee; 5. Dr. Siddhan Subramanian – Independent Director and Chairperson of the Audit Committee, Nomination and Remuneration Committee and Stakeholders’ Relationship Committee; OTHER REPRESENTATIVES PRESENT The following representatives were also present at the AGM through VC/OAVM: 1. Mr. Pritesh J. Rajani, Proprietor of M/s. J. A. Rajani & Co., Chartered Accountants, Statutory Auditors of the Company; and 2. Ms. Poonam Somani, Proprietor of M/s. Somani and Associates, Company Secretaries, Secretarial Auditors of the Company and Scrutinizer for the AGM. A total of 52 Members attended the AGM through VC/OAVM. The requisite quorum, as prescribed under the applicable provisions of the Companies Act, 2013, was present throughout the meeting. Accordingly, the meeting was duly constituted. BRIEF PROCEEDINGS Mr. Vipul P. Shah, Managing Director of the Company, chaired the meeting. The Chairman welcomed all the Directors, Key Managerial Personnel, Auditors and Members participating in the meeting. The Chairman informed the Members that the AGM was being convened and held through VC/OAVM in accordance with the applicable circulars issued by the MCA and SEBI. The participation of Members through the VC/OAVM facility was reckoned for the purpose of determining the quorum in accordance with the applicable provisions of the Companies Act, 2013 and the relevant MCA circulars. The Member were further informed that the Register of Directors and Key Managerial Personnel and their Shareholding, maintained under Section 170 of the Companies Act, 2013, and the Register of Contracts or Arrangements, maintained under Section 189 of the Companies Act, 2013, together with other relevant documents, were made available for inspection by the Members who had requested such inspection. The Members were also informed that the Notice convening the 54th AGM, along with the Annual Report containing the Audited Standalone and Consolidated Financial Statements of the Company for the financial year ended 31st March 2026, together with the Board's Report, Auditors' Reports and relevant annexures, had been circulated to the Members through electronic mode within the prescribed statutory timelines. The Members were further informed that, since the Statutory Auditors' Report did not contain any qualifications, reservations, adverse remarks or disclaimer, the same was not required to be read at the meeting. The Chairman briefed the Members regarding the performance, progress and achievements of the Company during the financial year 2025-26 and the future plans of the Company. With the consent of the Members present, the Notice convening the 54th AGM was taken as read. The following items of business, as set out in the Notice of the 54th AGM, were transacted at the meeting: Item Type of Agenda Item No. Resolution ORDINARY BUSINESS To receive, consider and adopt (a) the Standalone Audited Financial Statements of the Company for the financial year ended 31st March, 2026 together with the reports of the Ordinary 1 Board of Directors and Auditors thereon; and (b) the Consolidated Audited Financial Resolution Statements of the Company for the financial year ended 31st March, 2026 together with the report of the Auditors thereon. To declare dividend on Equity Shares for the financial year ended 31st March, 2026 Ordinary (dividend @ 8% (0.80 per equity share) Resolution To appoint a director in place of Mr. Mihir Vipul Shah (DIN: 05126125), who retires by Ordinary rotation and being eligible, offers himself for re-appointment as a director. Resolution SPECIAL BUSINESS To approve revision in remuneration payable to Mrs. Mita V. Shah, being Related Party, Ordinary holding an office or place of profit in the company.
