SUPERMARKETS LIMITED HELD ON WEDNESDAY, SEPTEMBER 30, 2026 THROUGH VIDEO
CONFERENCING / OTHER AUDIO-VISUAL MEANS AT 1:30 P.M.
The 06th Annual General Meeting (“AGM” or “Meeting”) of the Members of Jay Ambe Supermarkets Limited
(“the Company”) was held today, i.e., Wednesday, September 30, 2026, at 1:30 P.M. (IST) through Video
Conferencing / Other Audio-Visual Means (“VC/OAVM”), in compliance with the applicable provisions of
the Companies Act, 2013 (“the Act”) and the rules made thereunder and the Securities and Exchange Board
of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”),
read with General Circular Nos. 14/2020 dated April 08, 2020, 17/2020 dated April 13, 2020, 20/2020 dated
May 05, 2020, 33/2020 dated September 28, 2020, 39/2020 dated December 31, 2020, 10/2021 dated June 23,
2021, 20/2021 dated December 08, 2021, 10/2022 dated December 28, 2022, 09/2023 dated September 25,
2023, 09/2024 dated September 19, 2024 and 03/2025 dated September 22, 2025 issued by the Ministry of
Corporate Affairs (“MCA”), and Circular Nos. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2023/167 dated October
07, 2023 and SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 issued by the Securities
and Exchange Board of India (“SEBI”) (hereinafter collectively referred to as the “Circulars”).

Proceedings in Brief:
Ms. Renuka Trikha, Company Secretary and Compliance Officer, welcomed the Members, Directors and other
attendees to the 06th AGM of the Company on behalf of the Board of Directors and informed that the Meeting
was being held through VC/OAVM in accordance with the Circulars.
She thereafter introduced the members of the Board, KMPs and invitees and confirmed their presence at the
Meeting, as listed above.
She informed the Members that Mr. Jignesh Amratbhai Patel, Chairman of the Board, would chair the Meeting.
Accordingly, Mr. Jignesh Amratbhai Patel took the Chair and conducted the proceedings of the Meeting.
The Chairman confirmed that the requisite quorum was present and called the Meeting to order. He further
informed that, since the AGM was being held through VC/OAVM pursuant to the Circulars, the facility for
appointment of proxies was not available to the Members.
The Chairman, in his address, welcomed the Members to the first AGM of the Company since the listing of
its equity shares on the SME Platform of BSE Limited on September 17, 2025, pursuant to its Initial Public
Offer of 23,64,800 equity shares at ₹78 per share aggregating to ₹1,844.54 lakhs. He apprised the Members
of the growth of the Company’s retail chain, “City Square Mart”, to 18 stores across Gujarat, and of the
performance of the Company for FY 2025-26, wherein revenue from operations grew by 51% to ₹7,149.76
lakhs and profit after tax grew by 77% to ₹487.48 lakhs. He further informed that, the Company being in a
growth phase, the Board had not recommended any dividend for the year and the profits would be reinvested
in the business.
The Chairman further informed the Members as under:
The Company had provided to its Members the facility to cast their votes electronically on the businesses
set out in the Notice of the AGM, through remote e-voting prior to the AGM as well as e-voting during
the AGM.
Members attending the AGM through VC/OAVM who had not cast their votes through remote e-voting
could cast their votes through the e-voting facility made available during the AGM, which remained open
during the AGM and for 15 minutes after its conclusion.
M/s. Prasad and Partners LLP, Practicing Company Secretaries, had been appointed as the Scrutinizer to
scrutinize the remote e-voting and the e-voting process at the AGM in a fair and transparent manner.
With the consent of the Members, the Notice convening the 06th AGM was taken as read. The Audited
Financial Statements of the Company for the financial year ended March 31, 2026, together with the Reports
of the Board of Directors and the Statutory Auditors thereon, were also taken as read. The Chairman informed
that the Statutory Auditors’ Report and Secretarial Audit Report (Form MR-3) for the financial year 2025-26
contain certain observations, the explanations on which have been provided in the Board’s Report.
Thereafter, the following items of business, as set out in the Notice of the AGM, were taken up at the AGM:

Statutory Auditors of the Company for a term of five consecutive Resolution
years, from the conclusion of this Annual General Meeting till the
conclusion of the Annual General Meeting to be held in the year
2031.
Upon completion of the items of business, the Chairman handed over the proceedings to the Company
Secretary. The Company Secretary informed the Members that no request had been received from any Member
for registration as a speaker shareholder, and invited the Members present to raise queries, if any. No query
was raised by any Member during the Meeting. She further reminded the Members that the e-voting facility
would remain open for 15 minutes after the conclusion of the Meeting.
