Dear Sir/Madam, Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 20 15 (“SEBI Listing Regulations”) read with SEBI Circular No. HO/49/14/14(7)2025-CFD- POD2/l/3762/ 2026 dated January 30, 2026, we wish to inform that the 5th Annual General Meeting (“AGM”) of the Company was held today i.e. Wednesday, September 30, 2026. The Meeting commenced at 11:30 A.M. (IST) and concluded at 12:37 P.M. (IST) through Video Conferencing (VC) / Other Audio Video Means (OAVM) facility. The remote e-voting facility was commenced on 9:00 A.M. on Sunday, September 27, 2026 and was ended on 5:00 P.M. on Tuesday, September 29, 2026. During the meeting, remote electronic voting facility was enabled by the National Securities Depository Limited for members, who were present at the Meeting and had not already voted through e-voting platform of NSDL, for voting in respect of businesses set forth in the notice of 5th Annual General Meeting (“AGM”) of the Company and the said facility was available till 15 minutes after the closure of Meeting. No.: A42880 Annexure A GIST OF PROCEEDINGS OF THE 5TH ANNUAL GENERAL MEETING OF TRUE COLORS LIMITED A. Date, Time and Venue of the Annual General Meeting (Meeting): The 5th Annual General Meeting (AGM) of the members of True Colors Limited (“the Company”) was held Wednesday, September 30, 2026 at 11.30 A.M. (IST) through video conferencing (“VC”)/other Audio Visual Means (OAVM). The meeting commenced at 11:30 a.m. (IST) and concluded at 12:37 p.m. (IST). B. Proceedings in brief: Ms. Javnika Gandharva, Company Secretary and Compliance Officer of the Company, initiated the proceedings of the Annual General Meeting by welcoming the Shareholders of the Company and informed them, that the Annual General Meeting is held through VC/ OAVM in compliance with the circulars issued by the Ministry of Corporate Affairs, Government of India and Securities and Exchange Board of India. The Company had also provided live webcast of the proceedings of Meeting. Mr. Ashishkumar Durlbhbhai Mulani was appointed as Chairman of the Meeting. She further informed that the meeting being held through VC/ OAVM the facility for appointment of Proxies was dispensed with. The requisite quorum being present, the Company Secretary with the consent of Chairman called the Meeting to order. Further, she introduced all the Panelists present at the Meeting including Chairman, Board of Directors, Committee Chairperson, Independent Directors, Authorized Representative of Statutory Auditor and Secretarial Auditor of the Company alongwith Authorized Representative of Internal Auditor and Cost Auditor of the Company. The Shareholders were also informed that:  The Company had circulated notice in newspapers and also sent emails to the shareholders along with detailed process to login, voting through remote e-voting as well as participation in the meeting.  The Company had provided facility for remote E voting. Remote e voting was opened from 09:00 A.M. on September 27, 2026 and was ended on 05:00 P.M. on September 29, 2026.  There would be no voting by show of hands. Members who didn’t vote though remote e-voting were provided with e-voting facility during the AGM and the said facilities were made available till 15 minutes after the conclusion of AGM.  All the members who have joined this meeting are by default placed on mute, to avoid any disturbance from background noise and ensure smooth and seamless conduct of the meeting.  Members were requested to note that the AGM was being recorded  The Register of Directors and Key Managerial Personnel, the Register of Contracts and Arrangements and any other documents mentioned in the AGM Notice, had been made available electronically for inspection by members during the AGM.  Any member could raise their concern and send it over Company’s email id at cs@truecolorsgroup.com and the same will be responded by the Company within due time. Please ensure to include your full name while raising a concern.  The Board of Directors had appointed M/s. PRASAD AND PARTNERS LLP (Formerly known as ALAP & CO. (LLPIN: ACA 1561), Practicing Company Secretary, as Scrutinizer to scrutinize the votes casted during the meeting and the votes casted through remote e-voting (i.e. remote e‐voting and voting at the meeting by using electronic system) platform of National Security Depository Limited. The results will be declared after receiving of Scrutinizer report at the earliest within 48 hours after the meeting. The results will also be available on website of the Company. Further, she requested Chairman, to reflect upon financial year 2025-26. Mr. Ashishkumar Durlbhbhai Mulani, Executive Director chaired the Meeting. The Chairman, Mr. Ashishkumar Durlbhbhai Mulani welcomed all shareholders to the Annual General Meeting of True Colors Limited and expressed gratitude for their continued trust and support. He provided an overview of the textile printing industry and the Company’s journey since its inception in 2013. He highlighted the growing adoption of digital textile printing in India and the opportunities arising from increasing demand for shorter production runs, faster sampling, customisation and efficient use of water. He further outlined the Company’s integrated business model covering digital printing machines, consumables and printing services, and highlighted the Company’s strategic decision to enter ink manufacturing to strengthen its product offering and customer relationships. The Chairman also apprised the shareholders of the Company’s focus on good corporate governance, strong internal systems, transparent disclosures and effective Board oversight. He expressed his appreciation to the Board and shareholders for their continued support and invited the Mr. Satishkumar Jayantibhai Panchani, Executive Director & CEO of the Company to present the Company’s performance and future plans. The Executive Director & CEO, Mr. Satishkumar Panchani, presented an overview of the Company’s performance for FY26 and its plans for FY27. He highlighted that the Company recorded revenue from operations of ₹301.55 crore, EBITDA of ₹46.98 crore and Profit After Tax of ₹31.16 crore during FY26. He apprised the shareholders of the performance across the Company’s three verticals—technology, consumables and digital printing services—and highlighted the growth in the installed machine base, consumables volumes and printing capacity. The CEO also highlighted the Company’s strategic initiative to enter into ink manufacturing under the INKIA brand, including the proposed Scheme of Amalgamation with Inkia Inks Private Limited and strategic partnership with ITACA, Spain. The initiative is expected to strengthen the Company’s integrated business model and support long-term growth. He further outlined the Company’s priorities for FY27, including installation of more than 100 machines, improved utilisation of paper capacity, expansion into commercial, label and flexible packaging printing, and phased expansion of ink manufacturing capacity.
