held on July 17, 2026 at 04:00 P.M. through Video Conferencing (VC)
Dear Sir/ Madam,
This is in furtherance to our earlier intimation dated July 17, 2026 with respect to proceedings
of Extraordinary General Meeting (“EGM”) of the Company held on Friday, 17th July, 2026
through Video Conferencing (VC) and in accordance with the provisions of Regulation 30 read
with Para A of Schedule III of the SEBI (Listing Obligation and Disclosure Requirements)
Regulations, 2015 (“Listing Regulations”), kindly find herewith the revised proceedings of
EGM along with time of conclusion of meeting.
In this regard, please find mentioned herein below the proceedings of the Extraordinary General
Meeting (“EGM”) of the Company held on Friday, 17th July, 2026 at 4:00 P.M. through Video
Conferencing and concluded at 4:44 P.M. for your kind reference and records:
The Company Secretary welcomed the Members and informed that this Extraordinary General
Meeting was being held through video conferencing. She informed the members that the
Company has taken all feasible steps to ensure that shareholders were provided an opportunity
to participate in Extraordinary General Meeting and vote. She briefed the members on
important points relating to the participation at the Meeting through VC.
Members were informed that the facility for remote e-voting for all the Resolutions mentioned
in the notice was provided to the Shareholders as on the cut-off date i.e., 10th July, 2026. She
also informed that e-voting was made available at the EGM to those shareholders who had not
already voted by means of remote e-voting.
M/s. Mihen Halani & Associates, Practicing Company Secretary (FCS No. 9926) was acting as
scrutinizer for scrutinizing the e-voting process in a fair and transparent manner.
Mr. Rajinder Kaul, Chairman, Chaired the Meeting. He welcomed the Members and after
ascertaining the quorum, called the meeting to order.
He requested the Directors, management team members who had joined the meeting through
Video Conferencing to introduce themselves.
Thereafter, Chairman made his opening remarks with respect to the growth outlook and briefly
explained the rationale for the proposed preferential issue, stating that it would strengthen the
Company's financial position, support its growth strategy, and provide resources to pursue
future business opportunities.
The following resolutions set out in the Notice convening the EGM were placed at the meeting:

The Chairman then invited the Members to express their views, ask questions and seek
clarifications. He clarified the queries raised by the shareholders to their satisfaction.
The Chairman then informed the members that the combined results of the voting on the
resolutions, along with the Scrutinizer’s Report, would be intimated to the BSE Limited and
that they would also be placed on the Company’s website and on the website of Central
Depository Services (India) Limited within 02 working days of the EGM.
The Meeting Concluded with a vote of thanks to members at 4:44 P.M.
This intimation is given pursuant to Regulation 30, Part A of Schedule III of the SEBI (Listing
Obligation and Disclosure Requirements) Regulation, 2015.
