Road, Kalina, Santacruz, Vidyanagari, Mumbai- 400098 +91 (22) 4019 4700 | compliance_citius@eaaa.in | www.citiustransnet.in ADDENDUM TO THE NOTICE OF THE FIRST ANNUAL MEETING OF CITIUS TRANSNET INVESTMENT TRUST This Addendum is issued in continuation of the Notice of the First Annual Meeting (“AM”) of the Unitholders of Citius Transnet Investment Trust (“the InvIT or Trust”) scheduled to be held on Monday, July 27, 2026, at 10:30 a.m. (IST) through Video Conferencing (“VC”)/ Other Audio-Visual Means (“OAVM”) for making additional disclosures in the explanatory statements for the resolutions set out in Item Nos. 2 & 3 of the aforesaid Notice already circulated to the Unitholders of the Trust on June 30, 2026, in accordance with the provisions of the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014 read with SEBI Master Circular bearing reference no. SEBI/HO/DDHS-PoD-2/P/CIR/2025/102 dated July 11, 2025 and other relevant circulars issued by SEBI in this regard, from time to time. Accordingly, the following additional paras be read along with the existing language of the explanatory statements mentioned in Item No. 2 & 3 of the Notice: ITEM NO. 2: Mr. S Sundararama’s remuneration for the above mentioned valuation exercise shall be not exceeding INR 33,85,000 (Rupees Thirty-Three Lakhs Eighty-Five Thousand only) for financial year 2026-27 payable in one or more instalments plus goods and services tax as applicable, and reimbursement of out-of-pocket expenses incurred. The proposed remuneration is based on knowledge, expertise, industry experience, time and efforts required to be put in by the Valuer and is in line with the industry benchmarks. ITEM NO. 3: The remuneration of M/s. SRBC & Co LLP, Chartered Accountants as the Statutory Auditors shall be not exceeding INR 1,21,50,000 (Rupees One Crore Twenty-One Lakhs and Fifty Thousand only) for financial year 2026-27 payable in one or more instalments plus goods and services tax as applicable, and reimbursement of out-of-pocket expenses incurred. The unit holders are requested to authorize the Board of Directors of the Investment Manager to determine and pay the audit fees as it may deem fit for the term of the auditor.
