The story of Himalaya over the past thirteen years has not merely been a business journey; it has been an extraordinary test of endurance, resolve, and character. Few organizations encounter, let alone survive, a succession of events as devastating as those we have faced: from prolonged legal disputes arising out of our JV with Simplot, to severe financial strain and bank default situations, and the catastrophic fire destruction at our manufacturing facilities. Each of these events, individually, had the power to bring down an institution. Together, they tested our foundation to its very limits. While I look back on these turbulent thirteen years with deep remorse for the lost opportunities and the pain borne by our stakeholders, it is immensely heartening that we stayed alive. We refused to yield. We held the fort, protected the core of our enterprise, and weathered the storm. That survival alone is a testimony to the fundamental strength of our conviction & commitments. Decisive Action: De-leveraging & Legal Strategy I will not pretend that all our problems have vanished. Turnarounds of this scale require continuous, deliberate effort. However, the horizon and the pathway ahead are unmistakably clearer today than they have been in over the last 14 years. To ensure complete financial stability and build a rock-solid balance sheet, we are pursuing two decisive strategic tracks: • Elimination of Debt via Asset Monetization: Even though we have raised no external equity or debt, we are actively contemplating the monetization of substantial non-core assets. Our clear goal is to leverage these transactions to eliminate all outstanding debts within the next 6 months, ushering in a lean, debt-free operational structure. • Taking the Legal Fight to the Front Foot: On the legal front regarding our Joint Venture partner Simplot, we are no longer remaining passive. We are taking the fight head-on from the front foot. We are moving aggressively to claim substantial damages incurred over the last six years, holding them accountable for emasculating the Himalaya Food International Ltd. CHAIRMAN’S ADDRESS • FY 2025-26 company through defiance of the Singapore Arbitration Award and their malafide attempts to obtain stays on our assets while suppressing their own contractual obligations under the Award before the courts. Turning the Page: Playing on the Front Foot Having survived the most annihilating decade in our corporate history, we are brimming with confidence, hope & determination towards change in orbit & achieve the dream. With operational bottlenecks clearing and financial liabilities being decisively addressed, we are moving from defense to strong, proactive execution. We have set a firm, realistic, and ambitious goal: To fully revive Himalaya to its true potential within the next 3 years. Our growth roadmap rests on high-capacity execution in our core competencies: • Potato Processing & Appetizers Expansion: We are moving decisively to operationalize and optimize our French Fry and potato specialty lines alongside our frozen appetizers facility by March next; targeting an aggregated production capacity of 66,000 Metric Tons Per Annum (TPA). • Global Market Penetration: We are expanding our international footprint building on our established export channels into North America, Europe, Australia, and the Middle East to take our premier frozen products to club stores, foodservice networks, and global retail chains. • Operational Precision: Through modern processing infrastructure, automated handling, and rigorous SOPs, we are driving higher yield efficiencies, lower operating costs, and enhanced margins.
