Accordingly, the requisite details of the NDU in respect of the equity shares of the Company held by me and the other Promoters are being furnished in the prescribed format enclosed herewith. The NDU has been provided as part of the financing arrangements in connection with the aforesaid Rupee Term Loan Facility and constitutes a customary security-related arrangement forming part of financing transactions of this nature. Pursuant to the terms of the NDU, the relevant equity shares are subject to contractual restrictions on their disposal, transfer or creation of any encumbrance during the applicable period and in accordance with the terms of the NDU and the related financing documents. For the avoidance of doubt, I, along with the other Promoters, have provided an NDU in respect of our respective shareholding in the Company and have not created any pledge over such shares pursuant to the NDU. The legal and beneficial ownership of the shares continues to remain with the respective Promoters. Further, the voting rights attached to such shares continue to be exercisable by the respective Promoters, subject to the terms of the NDU, the related financing documents and applicable law. The respective Promoters also continue to be entitled to the dividends and other economic benefits arising in respect of such shares, subject to applicable law and the terms of the financing documents. It is further clarified that there has been no transfer of the said shares to any third-party demat account pursuant to the NDU. The shares continue to be held in the respective demat accounts of the Promoters, subject to the contractual restrictions and obligations arising under the NDU and the related financing arrangements.
