In the matter of Debock Industries Limited
Background
1. The present proceedings emanate from a Show Cause Notice dated September
15, 2025 (hereinafter referred to as ‘SCN’), issued pursuant to a detailed
investigation carried out by Securities and Exchange Board of India (hereinafter
referred to as ‘SEBI’) against Debock Industries Limited (hereinafter referred to as
‘Company/Debock’) and other Noticees.
2. Before issuance of the SCN, based on a preliminary examination conducted by
SEBI, in the affairs of Debock, an interim order dated August 23, 2024 was passed
against Noticee No. 1, 2, 3 and 4, wherein the following prima facie observations
were made:
2.1. Migration to the Main Board through Fictitious Preferential Issues: The
Company appeared to have met the eligibility criteria for migration to the main
board of NSE through fictitious preferential issue of warrants and their
subsequent conversion to equity shares.
2.2. Inflation of sales and purchases: The Company inflated its sales by
approximately 72% in FY22 and 77% in FY23, alongside inflating its purchases

by approximately 94% during both these financial years. These actions were
carried out through circuitous transactions to present a positive picture relating
to activities of the Company to investors.
2.3. Submission of false bank statements: The Company submitted fabricated
bank statements to SEBI to conceal the fictitious preferential issues and the
inflated sales and purchases.
2.4. Diversion of Rights Issue Proceeds: Following its migration to the main
board of NSE, the Company raised ₹49.50 crore through a rights issue in June
2023. These funds were diverted to the promoters and related entities rather
than being used for legitimate business purposes.
2.5. Auditor's Qualifications on Subsequent Preferential Issues: The audit
qualifications regarding the subsequent preferential issue of warrants on
November 30, 2023 and their conversion on February 7, 2024, raised serious
concerns that Company was repeatedly engaging in fraudulent practices.
3. The interim directions issued vide the said interim order were confirmed vide
Confirmatory order dated December 11, 2024. The matter was taken up for detailed
investigation and an Investigating Authority (“IA”) was appointed to further look into
the matter. The focus of examination was to examine possible violation of the

SEBI (Prohibition of Fraudulent and Unfair Trade Practices relating to the Securities
Market) Regulations, 2003 (‘PFUTP Regulations’) and SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015 (‘LODR Regulations’). Pursuant
to the detailed investigation, the present SCN was issued to the Noticees.
4. In view of the observations contained in the SCN (discussed in detail in the ensuing
section of the Order), the following allegations were made against the Noticees.
