No.: MAL-SEC/30/2026-27 Date: September 29, 2026 The Secretary BSE Limited Phiroze Jeejeebhoy Towers, Dalal Street, Mumbai – 400 001 Scrip Code: 544451 Sub: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) Dear Sir/Madam, Pursuant to Regulation 30(4) of the SEBI Listing Regulations, read with the applicable provisions of Schedule III thereto, we wish to inform you that the Company has received a written notice from Casa Cuervo, S.A. de C.V., Crista La Santa, S.A.P.I. de C.V., Proximo Spirits, Inc. and JC Master Distribution Limited (collectively, the “Suppliers”), proposing cessation of the distribution relationship with the Company in respect of certain products/brands distributed by the Company in certain specified territories. The Suppliers, vide their notice, have stated that they are providing six months’ prior written notice of their intention to terminate the importation and distribution rights granted to the Company and have stated March 31, 2027 as the proposed date of cessation of such rights. The proposed cessation relates to various products/brands, including Jose Cuervo®, 1800® Tequila, Reserva de la Familia®, Maestro Dobel® Tequila, Gran Centenario® Tequila, Maestro Dobel 50®, Creyente® Mezcal, 400 Conejos® Mezcal, The Kraken® Black Spiced Rum, Bushmills® Irish Whiskey, The Sexton® Irish Whiskey and other branded products, in respect of the territories comprising India, Sri Lanka, Maldives, Bhutan, Bangladesh, Nepal and Pakistan, including applicable duty-free/global travel retail markets. The Company submits that the distribution and importation of the aforesaid products/brands constitute part of its normal course of business. However, considering the nature and significance of the proposed cessation and its potential impact on the Company's business operations and financial performance, the Company considers the matter to be material in terms of Regulation 30(4) of the SEBI Listing Regulations. The Company does not concur with the proposed termination/cessation communicated by the Suppliers and is evaluating its legal options. The Company has engaged legal advisors and will take such steps as may be necessary and appropriate to protect its rights and interests in the matter. Without prejudice to the Company’s position regarding the validity of the proposed termination, and as a matter of prudent business continuity planning, the Company is taking necessary steps to ensure uninterrupted business operations. The financial impact of the proposed cessation, if given effect to, is presently being evaluated by the Company.
