Scrip ID: 500153 Scrip ID: GANESHBE Sub.: Disclosures under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) -Outcome of Board Meeting Dear Sir/Madam, This is to inform that the Board of Directors of Ganesh Benzoplast Limited (“Company”) at its meeting held today, i.e. Tuesday, September 29, 2026, based on the recommendation of the Audit Committee, approved the sale of the: (i) liquid storage tank business at JNPT, Cochin and Goa terminals (“LST Undertaking”) as a going concern on a slump sale basis, under a Business Transfer Agreement (“BTA”) to Cisternina Logistics Private Limited (“CLPL”) an entity in which an entity owned by funds and vehicles managed and advised by Kohlberg Kravis Roberts (“KKR”) has entered into definitive documents to invest; and (ii) rail logistics business at Daund (“Rail Logistics Undertaking”) (currently operating under its material subsidiary Infrastructure Logistic Systems Limited (“ILSL”)) to ILSL Rail Logistics Private Limited, a wholly owned subsidiary of ILSL (“ILSL WOS”) and thereafter, transfer of entire shareholding held by ILSL in ILSL WOS to CLPL (“Proposed Transaction”). The aggregate consideration for the Proposed Transaction is INR 1,154 Crores, subject to such adjustments as set out in the definitive documents. The above approval is subject to receipt of the requisite shareholders' approval under the provisions of the Listing Regulations and/or any other applicable provisions of the Companies Act, 2013 (“Companies Act”).
