Dear Sir/Madam, Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)Regulations,2015 (Listing Regulations), as amended from time to time and with reference to Voting results of 39th Annual General Meeting of the Company held on 28th September, 2026 declared and announced on 29th September, 2026, we hereby inform that Members of the Company at their 39th Annual General Meeting have approved for alteration in Memorandum of Association of the Company as detailed below, which is further subject to approval of Registrar of Companies/Ministry of Corporate Affairs: 1) In Main object by way of addition of following Clause 3. after Clause 2.to Main Object i.e. in Clause 3a/ III Aof the Memorandum of Association of the Company: 3. To carry on the business of designing, developing, engineering, manufacturing, fabricating, machining, assembling, testing, inspecting, repairing, reconditioning, upgrading, buying, selling, importing, exporting, supplying and otherwise dealing in precision engineering components, automotive components, mechanical components, parts, sub-assemblies, assemblies, systems, equipment and allied products for automotive, defence, aerospace, military, naval, land systems, industrial and other engineering applications, including components and equipment for defence and aerospace platforms, vehicles, machinery and systems, and to undertake all activities incidental or ancillary thereto, subject to applicable laws, rules, regulations, licences, permissions and approvals. 2) Approved Alteration in Memorandum of Association i.e. adoption of new set of Memorandum of Association of the Company in consonance with the Table A of the Schedule I of the Companies Act, 2013. Accordingly, clause (C)- Other Objects of the Company not included in sub-clauses (A) – Main Object and (B) Object incidental or Ancillary to the attainment of Main Object is deleted.
